Common use of Sales Charges/Dealer Concessions Clause in Contracts

Sales Charges/Dealer Concessions. On each purchase of Shares by Clients from Distributor, the total sales charges and dealer concessions or commissions, if any, payable to Dealer shall be an upfront sales load of up to 3.0% of a Dealer Shareholder’s investment amount (whether new or additional) or as otherwise set forth in the Fund’s Prospectus, subject to the reduction or waiver of any such fees in the Dealer’s sole discretion. Except as otherwise noted in this section 4, neither the Fund nor the Distributor shall have the right to reduce or waive any of the sales load payable by clients to Dealer. Distributor agrees that Dealer shall receive the upfront sales load, if any, directly from Clients.
