Sales Promotions. In addition to decreasing prices for the balance of the Contract term due to a change in market conditions, the Contractor may conduct sales promotions involving price reductions for a specified lesser period. The Contractor must submit documentation identifying the proposed: (1) starting and ending dates of the promotion, (2) commodities or contractual services involved, and (3) promotional prices compared to then-authorized prices.
Sales Promotions. The Retailer agrees to actively promote the sale of Lottery Tickets, and to utilize Point-of-Sale materials and displays.
Sales Promotions. 23.1 In addition to decreasing contract pricing in accordance with the provision entitled price reductions, the contractor may conduct sales promotions involving specific products or groups of products specified herein for specified time periods. If electing to exercise this provision the contractor shall submit: • A formal request that identifies the affected contract product or product groups • The promotional price vs. the existing contract price • The start and end date of the sales promotion
23.2 Approval shall be in the form of a contract amendment. Pricing shall be available to all eligible agencies through the dates specified in the request. Upon approval the contractor shall provide conspicuous notice of the promotion.
Sales Promotions. 8.1 AMERSHAM shall use its best efforts in sales promotions and advertisement of the PRODUCTS such as direct mailings, direct customer contact, catalog listings and trade meeting promotions. ENZO will provide AMERSHAM with one copy of the literature, technical data, specifications and the like describing the PRODUCTS as they are currently produced for the assistance of AMERSHAM in the preparation of advertising, catalog and other sales and promotional material. AMERSHAM will list PRODUCTS in its next available or published product catalog(s) in which the PRODUCTS can be listed and continued such listing after the effective date of this AGREEMENT. AMERSHAM will modify the listings of PRODUCTS in its product catalog(s) as soon as reasonably possible after any corresponding modification of the list of such PRODUCTS in EXHIBIT B.

BAXTER shall use its best efforts in sales promotions and advertisement of the PRODUCTS such as individual client contact, direct mailings, catalog listings and trade meeting promotions. ENZO will provide BAXTER with one (1) copy of the literature, technical data, specifications and the like describing the PRODUCTS that BAXTER is distributing as they are currently produced for the assistance of BAXTER in the preparation of advertising, catalog and other sales and promotional material. BAXTER shall use its best efforts to list PRODUCTS in its future published product catalog(s) in which the PRODUCTS can be listed after the effective date of this AGREEMENT.

DAKO shall exert on its own account, its best efforts in sales promotions and advertisement of the PRODUCTS such as individual client contact, direct mailings, catalog listings and trade meeting promotions. ENZO will provide DAKO with one (1) copy of the literature, technical data, specifications and the like describing the PRODUCTS that DAKO is distributing as they are currently produced for the assistance of DAKO in the preparation of advertising, catalog and other sales and promotional material. DAKO will list PRODUCTS in its next available or published product catalog(s) in which the PRODUCTS can be listed after the effective date of this Agreement. DAKO will modify the listings of PRODUCTS in its product catalog(s) as soon as reasonably possible after any corresponding modification of the list of such PRODUCTS in EXHIBIT B and EXHIBIT C that it intends to distribute.
Sales Promotions. Distributor shall consistently use its best efforts to vigorously promote, maintain and extend and increase the sale of the Equipment in the Territory, and seek to develop new customers in the Territory. In furtherance of that obligation Distributor shall at its own expense, undertake such advertising and promotion as is necessary or appropriate to promote the purchase and use of the Equipment in the Territory including but not limited to the following: (i) to maintain an extensive sales network; (ii) to maintain sufficient inventory of all the Equipment so as to ensure that all orders and repairs may be filled in a timely and efficient Manner; (iii) to hire experienced sales personnel in such numbers as may be reasonably required and to use only appropriate and reputable means of promoting and selling the Equipment; (iv) to engage in proper follow-up and to maintain contact with customers in order to ascertain and fill all their supply requirements with regard to the Equipment, and to respond to all inquiries and to fill all orders in a timely and efficient manner; (v) to provide customers with sufficient printed material, in the local language, and other support in order to promote sales; (vi) to provide all customers with an accurately translated copy of all manuals and instructions. Master copies of all such manuals and instructions shall be provided to Distributor by MCM in English, (vii) to appoint retail dealers only under terms and conditions which are approved in advance and in writing by MCM; and (viii) to participate at
Sales Promotions. AFFYMETRIX shall exert on its own account its commercially reasonable efforts in sales promotions and advertisement of the PRODUCTS in association with the sale of others of its products. Such efforts may include individual client contact, direct mailings, catalog listings and trade meeting promotions. Upon request, ENZO will provide AFFYMETRIX with literature, technical data, specifications and the like describing any of ENZO's PRODUCTS for the purpose of assisting AFFYMETRIX in the preparation of advertisements, catalogs and other sales and promotional material for the PRODUCTS. AFFYMETRIX will list PRODUCTS in its next available or published product catalog(s) in which the PRODUCTS can be listed after the effective date of this AGREEMENT. ENZO has the right to list the PRODUCTS in its product catalog and other advertisements and sales and promotional materials, it being understood that as a result of such activities of ENZO certain PRODUCTS may be purchased directly from ENZO or its distributors or licensees, and AFFYMETRIX shall be relieved from certain of its payments under Section 6 for any such sales.
Sales Promotions. Baxter and Allegiance may agree from time to time on Special Promotions and Programs subject to agreement on the scope, cost, Product inclusions, duration, customers, and appropriate compensation of Allegiance's sales reps to which such Special Promotions or Programs will apply.
7. The first line of Section 6.14.1 is amended to replace the phrase "Sections 6.1 and 6.3" with the phrase "Section 6.1".
8. Sections 8.1.1, 8.1.2, and 8.1.3 are deleted in their entirety and replaced with the following: 8.
1.1 The service fee for each year, subject to adjustment as set forth in Sections 6.3 or 6.4 above, will be paid monthly, on the fifteenth day of the following month, according to the following percentages: January, February, March 7.5% of the service fee per month April, May, June 8.0% of the service fee per month July, August, September 8.5% of the service fee per month October, November 9.0% of the service fee per month December the balance due. If at any time during the Term of this Agreement Baxter forecasts that Contract Net Sales will be more than $20 million above or below the target level set forth above, then the service fee and the remaining monthly installments of the service fee paid to Allegiance for that year pursuant to Sections 6.1 and 8.1.1 will be increased or decreased, as appropriate.
Sales Promotions. A Contractor shall submit to the Contract Specialist documentation identifying the proposed (1) starting and ending dates of the promotion, (2) products involved, and (3) promotional prices compared to then-authorized prices. Promotional prices shall be available to all Customers. Upon approval, the Contractor shall provide conspicuous notice of the promotion. Trade-In. Customers may trade-in equipment when making purchases from the Contract. A trade-in shall be negotiated between the Customer and the Contractor. Customers are obligated to actively seek current fair market value when trading equipment, and to keep accurate records of the process. For State agencies, it may be necessary to provide documentation to the Department of Financial Services and to the agency property custodian pursuant to Chapter 273, F.S.
