Sales Tax Claims. For purposes of this Article 4, the term "Sales Tax Claims" shall mean any Claims from states other than the Sales Tax States which relate to Garvey's sales activities on or before the Closing Date. The Sharehoxxxx xxxl have the right to contest (or join Garvey in contesting) any Sales Tax Claims for which he could become xxxxxe. In the event of any such contest, the Shareholder will be given access to Garvey's customer files. To the extent the Shareholder is ultimately xxxxxx and pays any such taxes, the Shareholder shall become subrogated to any rights Garvey may have to recover those assessed sales taxes from the origixxx xxrchasers.
Sales Tax Claims. Notwithstanding anything in this Article XI to the contrary, it is agreed that Shareholders will indemnify AMG, Merger Sub and TULSAT from any expenses, claims, losses, damages or liabilities for sales taxes or use taxes for which Diamond may be liable for transactions consummated, services performed or other actions taken by or on behalf of Diamond prior to the Closing Date. The indemnity obligations of this Section 11.9 shall not be subject to the limitations set forth in Section 11.8.
Sales Tax Claims. In the event a Government Authority seeks to recover sales taxes from HomeSeekers or Sub for sales to REI or IMCO customers prior to the Effective Time, the Shareholders agree to cooperate with HomeSeekers and to vigorously enforce the sales tax reimbursement provisions contained in the contracts between REI and its customers and in the contracts between IMCO and its customers.
