Common use of Satisfaction and Discharge of Agreement Clause in Contracts

Satisfaction and Discharge of Agreement. Upon the earlier of: (1) the date by which there shall have been delivered to the Warrant Agent for exercise or cancellation all Warrant Certificates theretofore issued hereunder; and (2) the Expiry Time; and if all certificates representing Shares, if any, required to be issued in compliance with the provisions hereof have been issued and delivered hereunder or to the Warrant Agent in accordance with such provisions, this Agreement shall cease to be of any force and effect and the Warrant Agent, on demand of and at the cost and expense of the Corporation and upon delivery to the Warrant Agent of a certificate of the Corporation stating that all conditions precedent to the satisfaction and discharge of this Agreement have been complied with, shall execute proper instruments acknowledging satisfaction of and discharging this Agreement. Notwithstanding the foregoing, the indemnities provided to the Warrant Agent by the Corporation hereunder shall remain in full force and effect and survive the termination of this Agreement.

Satisfaction and Discharge of Agreement. Upon the earlier of: : (1i) the date by which there shall have been delivered to issue of certificates or DRS Advices representing the Underlying Shares and the Warrant Agent for exercise or cancellation Certificate representing the Warrants and payment of all Warrant Certificates theretofore issued hereundermonies as provided in Section 5.3 upon satisfaction of the Release Conditions; and and (2ii) the Expiry Time; and if payment of all certificates representing Shares, if any, required monies pursuant to be issued in compliance with Section 5.4(a) hereof upon the provisions hereof have been issued and delivered hereunder or to the Warrant Agent in accordance with such provisionsoccurrence of a Termination Event, this Agreement shall cease to be of any force and effect and the Warrant Subscription Receipt Agent, on demand of the Corporation and at the cost and expense of the Corporation and upon delivery to the Warrant Subscription Receipt Agent of a certificate of the Corporation stating that all conditions precedent to the satisfaction and discharge of this Agreement have been complied with, shall execute proper instruments acknowledging satisfaction of and discharging this Agreement. Notwithstanding the foregoing, the indemnities provided to the Warrant Subscription Receipt Agent by the Corporation hereunder shall remain in full force and effect and survive the termination of this Agreement.

Upon the earlier of: (1) Immediately following the date by upon which there shall (i) all Subscription Receipts have been delivered exchanged or terminated, (ii) all Escrowed Funds have been distributed to the Warrant Agent for exercise or cancellation all Warrant Certificates theretofore issued hereunder; and appropriate parties as set forth in this Agreement and (2iii) the Expiry Time; and if all certificates representing Shares, if any, any Variable Voting Shares required to be issued in compliance with the provisions hereof have been issued and delivered hereunder or to the Warrant Agent in accordance with such provisionsthe provisions hereof, this Agreement shall cease to be of any force and effect and the Warrant Subscription Receipt Agent, on demand of the Corporation and at the cost and expense of the Corporation and upon delivery to the Warrant Subscription Receipt Agent of a certificate of the Corporation stating that all conditions precedent to the satisfaction and discharge of this Agreement have been complied with, shall execute proper instruments acknowledging satisfaction of and discharging this Agreement. Notwithstanding the foregoing, the indemnities provided to the Warrant Subscription Receipt Agent by the Corporation hereunder shall remain in full force and effect and survive the termination of this Agreement.

Upon the earlier of: (1a) the date by which there shall have been delivered to the Warrant Agent for exercise issue of certificates or cancellation Book-Based System customer confirmations representing Common Shares and payment of all Warrant Certificates theretofore issued hereundermonies required as provided in Section 3.2; andor (2b) the Expiry Time; and if payment of all certificates representing Shares, if any, monies required to be issued where the Arrangement is terminated or the Arrangement Closing Time does not occur by the Outside Date as provided in compliance with the provisions hereof have been issued and delivered hereunder or to the Warrant Agent in accordance with such provisionsSection 3.3, this Agreement shall cease to be of any force and further effect and the Warrant Subscription Receipt Agent, on demand of and at the cost and expense of the Corporation and upon delivery to the Warrant Subscription Receipt Agent of a certificate of the Corporation stating that all conditions precedent to the satisfaction and discharge of this Agreement have been complied with, shall execute proper instruments acknowledging satisfaction of and discharging this Agreement. Notwithstanding the foregoingforegoing provisions of this Section 10.5, the indemnities provided to the Warrant Subscription Receipt Agent by the Corporation hereunder shall remain in full force and effect and survive the termination of this Agreement.

Upon the earlier of: (1a) the date by which there shall have been delivered issue of certificates or Book-Entry Only System customer confirmations representing Common Shares and the payment of the Escrowed Underwriters’ Fee and of all monies required as provided in Section 3.2, including any Dividend Equivalent Payment owing to the Warrant Agent for exercise or cancellation all Warrant Certificates theretofore issued hereunderReceiptholders; andor (2b) the Expiry Time; and if payment of all certificates representing Shares, if any, monies required to be issued as provided in compliance with the provisions hereof have been issued and delivered hereunder or to the Warrant Agent in accordance with such provisionsSection 3.3, this Agreement shall cease to be of any force and further effect and the Warrant Subscription Receipt Agent, on demand of and at the cost and expense of the Corporation and upon delivery to the Warrant Subscription Receipt Agent of a certificate of the Corporation stating that all conditions precedent to the satisfaction and discharge of this Agreement have been complied with, shall execute proper instruments acknowledging satisfaction of and discharging this Agreement. Notwithstanding the foregoingforegoing provisions of this Section 10.5, the indemnities provided to the Warrant Subscription Receipt Agent by the Corporation hereunder shall remain in full force and effect and survive the termination of this Agreement.

Notwithstanding the foregoing, the indemnities provided to the Warrant Agent Trustee by the Corporation hereunder shall remain in full force and effect and survive the termination of this Agreement.
