Common use of SBA Forms Clause in Contracts

SBA Forms. The Company shall have executed and delivered: a Size Status Declaration on Small Business Administration ("SBA") Form 480, an Assurance of Compliance on SBA Form 652, a Portfolio Financing Report on SBA Form 1031, and such other forms as may be necessary or desirable under applicable SBA rules and regulations in order to enable MidMark to complete its investment in the Company.

SBA Forms. The Company shall have completed, executed and delivered: --------- delivered to each Purchaser that is a "Small Business Investment Company" under the Small Business Act, a Size Status Declaration on Small Business Administration ("SBA") SBA Form 480, an Assurance of Compliance on SBA Form 652652 and the SBA Sideletter, and shall have completed and delivered to each such Purchaser Parts A and B of a Portfolio Financing Report on SBA Form 1031, and such other forms as may be necessary or desirable under applicable SBA rules and regulations in order to enable MidMark to complete its investment in the Company.

SBA Forms. The Company shall have executed and delivered: delivered to the Purchasers a Size Status Declaration on Declaration, Assurance of Compliance (non-discrimination certification) and other standard forms required by the Small Business Administration ("SBA") Form 480, an Assurance of Compliance on SBA Form 652, a Portfolio Financing Report on SBA Form 1031, and such other forms as may be necessary or desirable under applicable SBA rules and regulations in order to enable MidMark to complete its investment in connection with the Companytransactions contemplated by this Agreement.
