Common use of Scope of Addendum and Regulatory Oversight Clause in Contracts

Scope of Addendum and Regulatory Oversight. This Addendum is intended to cover all transactions between Liberty Midstates and LUCo for which Illinois Commerce Commission (“ICC”) approval is or may be required, other than such transactions that are the subject of separate arrangements or agreements that are part of a competitive process under 83 Ill. Adm. Code 310.60 and 310.70 (or any successor code parts or other laws) or that Liberty Midstates and LUCo explicitly state are not subject to the Agreement. This Addendum shall be limited in its application to transactions that affect Liberty Midstates’ costs subject to the regulatory oversight of the ICC and shall remain in effect until otherwise ordered by the ICC. The Agreement should be construed so as to comply with all applicable laws, including the Illinois Public Utilities Act (the “Act”). The Agreement shall be interpreted in accordance with such purposes and intent. In the event of a conflict between this Addendum, the Agreement and/or the CAM, this Addendum shall prevail with respect to transactions within the scope of the Addendum as described in this item 1.
