Common use of Secretary Clause in Contracts

Secretary. The Secretary will, subject to the control of the Member, prepare and keep the minutes of the proceedings of the Company in books provided for that purpose, see that all notices are duly given in accordance with the provisions of the Act, be custodian of the Company records, and will have the general powers and duties usually vested in the office of secretary of corporations, and will have such other powers and duties as may be prescribed by the Member.

Secretary. The Secretary will, subject to shall: (i) keep and be the control custodian of the Member, prepare books and keep the minutes records of the proceedings of the Company in books provided for that purpose, Company; (ii) see that all notices are duly given in accordance with the provisions of this Agreement or as required by the Act, be custodian LLC Act or other applicable law; (iii) keep a register of the address of each Member, which shall be furnished to the Company records, by such Member; and will have the (iv) in general powers and perform all duties usually vested in incident to the office of secretary of corporations, Secretary and will have such other powers and duties as may be prescribed by the MemberBoard of Managers or the President from time to time.

The Secretary will, subject to the control of the Member, prepare and keep the minutes of the proceedings of the Company in books provided for that purpose, see that all notices are duly given in accordance with the provisions of the Act, be custodian of the Company records, and will have the general powers and duties usually vested in the office of secretary of corporations, and will have such other powers and duties as may be prescribed by the Member.

The Secretary will, subject to the control of the Member, prepare and secretary shall keep the minutes of the proceedings meetings of the Company in books provided for that purposeManagers, of all committees and of the Members and shall be custodian of all corporate records and of the seal of the Company. He shall see that all notices are duly given in accordance with the provisions of the Act, be custodian of the Company records, and will have the general powers and duties usually vested in the office of secretary of corporations, and will have such other powers and duties this Agreement or as may be prescribed required by the Memberlaw.

Secretary. The Secretary willshall attend, subject to the control of the Memberand record and have custody of, prepare and keep the minutes of the proceedings meetings of the Company in books provided for that purposemembers, the Managers and committees of managers or officers; see that all notices are duly given in accordance with the provisions of the Act, this Agreement and as required by law; be custodian of the Company recordsrecords and of the seal of the Company; and, in general, perform all duties normally incident to such office and will have the general powers and duties usually vested in the office of secretary of corporations, and will have such other powers and duties as may be prescribed from time to time by the MemberPresident or the Managers.

Secretary. The Secretary will, subject to shall supervise the control keeping of the Member, prepare a full and keep the minutes complete record of the proceedings of the Company in books provided for that purposeBoard and its committees, see that all shall supervise the giving of such notices are duly given in accordance with as may be proper or necessary, shall supervise the provisions keeping of the Act, be custodian minute book of the Company recordsthis Corporation, and will have the general powers and duties usually vested in the office of secretary of corporations, and will shall have such other powers and duties as may be prescribed from time to time by the MemberBoard or these Bylaws.
