Securityholder Approvals. The transactions contemplated hereby shall have received all requisite approvals of the shareholders of RB Bancorp, BRB and FPNB.
Securityholder Approvals. Acclaim and StarPoint will cooperatively prepare a joint information circular – proxy statement (“Information Circular”) to be mailed to the Acclaim Securityholders and StarPoint Securityholders for the purpose of their respective securityholder meetings to be called to consider the Arrangement and related matters. Each of the parties shall provide the other with all information with respect to itself as may be required for inclusion in the Information Circular and shall indemnify the other for any misrepresentation contained in such information.
