Seller Closing Deliveries. At Closing, Seller shall deliver or cause to be delivered to Buyer: (i) the Bxxx of Sale and General Assignment Agreement (the “Bxxx of Sale and General Assignment Agreement”) attached hereto as Exhibit 6, duly executed by Seller; (ii) the Patent Assignment Agreement, duly executed by Seller; (iii) copies in electronic form of the documents placed in the Data Room prior to the Closing Date; (iv) a duly executed copy of the Transfer Letter for each IND and CTA; (v) the Lock-Up Agreement, duly executed by Seller; and (vi) a copy of all Consents and Waivers, duly executed by Seller and each consenting Third Party.
