Seller Operating Covenant. From the Effective Date through the Closing Date, Sellers agree as follows: (a) Sellers will operate the Property in the normal course of Sellers’ business and maintain the Property in substantially the same condition as of the Effective Date, ordinary wear and tear excepted, and subject to Section 5 above (notwithstanding anything in this clause (a) to the contrary, in no event shall Sellers be required to make any capital repairs, replacements or improvements to the Property except (i) as may be required by the Leases to be made prior to the Closing Date, (ii) to the extent such capital repairs, replacements or improvements are on-going, and (iii) as may be required to prevent or address any emergency or life safety matters), (b) Sellers shall not (i) market, solicit, negotiate, or enter into any agreement with any party other than Purchaser for the sale or transfer of any interest in the Property, (ii) directly or indirectly sell or assign the Property or any portion thereof (other than the sale of de minimis portions of the Personal Property in the ordinary course of business), (iii) take any action, create, or commit any acts which would (A) give rise to any variance from the current legal description of the Real Property, or (B) cause the creation of any lien, charge or encumbrance created or caused by Seller against the Property (which is not removed as of the Closing), or (iv) enter into any agreement to any of the foregoing.

  • Operating Covenants The Issuer covenants with the Indenture Trustee as follows, provided that any of the following covenants with respect to the Portfolio Railcars shall not be deemed to have been breached by virtue of any act or omission of a Lessee or sub-lessee, or of any Person which has possession of a Portfolio Railcar for the purpose of repairs, maintenance, modification or storage, or by virtue of any requisition, seizure, or confiscation of a Portfolio Railcar (other than seizure or confiscation arising from a breach by the Issuer of such covenant) (each, a “Third Party Event”), so long as (i) none of the Issuer, the Servicer or the Administrator has consented to such Third Party Event; and (ii) the Issuer (or the Servicer on its behalf) as the Lessor of such Portfolio Railcar promptly and diligently takes such commercially reasonable actions as a leading railcar operating lessor would reasonably take in respect of such Third Party Event, including, as deemed appropriate (taking into account, among other things, the laws of the jurisdiction in which such Portfolio Railcar is located or operated), seeking to compel such Lessee or other relevant Person to remedy such Third Party Event or seeking to repossess the relevant Portfolio Railcar:
