Sellers' Breach of Prior Covenants Sample Clauses

Sellers' Breach of Prior Covenants. Notwithstanding any other provision contained in this Agreement, if Sellers breach any of the executory obligations in the documents identified in the attached Exhibit A which obligations are necessary for the preservation of environmental indemnity rights of Sellers against third party indemnitors ("Sellers' Environmental Covenants"), Sellers shall indemnify and hold harmless the Buyer Indemnified Persons from and against all provable Damages (including Environmental Costs) they may suffer, sustain or become subject to as a result of Sellers' breach; provided that, for avoidance of doubt, Buyer Indemnified Persons shall have no such right to indemnification in the absence of actual prejudice of the rights or interests of Buyer caused by such breach. Buyer's damages for a breach under this Section shall include any of Buyer's provable consequential damages arising from such breach by Sellers.
