Seller's delivery to Buyer of this Agreement is a condition to Buyer consummating the transactions contemplated by the Purchase Agreement.
Seller's delivery to Buyer. Seller shall, contemporaneously with the execution and delivery of this Agreement, deliver to Buyer a Xxxx of Sale in the form attached as Exhibit B hereto, duly executed by Seller (the “Xxxx of Sale”).
Seller's delivery to Buyer and Buyer's approval of all contracts, documents, studies, reports, surveys, data and all other information in Sellers' files or readily obtainable by Sellers that relates to the Properties or any portion thereof (collectively, the "SELLER INFORMATION").
Seller's delivery to Buyer and Buyer's approval of all tax returns, if any, relating to such Property for the last five (5) years.
