Seller's Title Notice Sample Clauses

Seller's Title Notice. In the event that the Buyer's Title Notice disapproves any exception, Seller shall have until 5:00 p.m. on the 10th day following the Initial Title Review Date (the ("SELLER'S TITLE RESPONSE DATE") to give Buyer written notice ("SELLER'S TITLE NOTICE") of those disapproved title matters, if any, which Seller is willing to remove or cause to be insured over. If Seller fails to deliver Seller's Title Notice, Seller shall be deemed to have refused to remove all disapproved title matters. If Seller's Title Notice refuses to remove any items disapproved by Buyer, Buyer shall have until 5:00 p.m. on the 10th day following Seller's Title Response Date to give Seller written notice ("BUYER'S TITLE WAIVER NOTICE") that Buyer waives its prior disapproval with respect to all items which Seller has refused (or is deemed to have refused) to remove. If Seller has not received Buyer's Title Waiver Notice by 5:00 p.m. on the last date for Buyer to give Buyer's Title Waiver Notice under this subsection 4.01.B(2), this Agreement shall terminate, Buyer shall receive back the Initial Deposit, and the parties shall have no further obligations hereunder to each other except for Buyer's obligations under Sections 4.01.A and 8.15. Seller shall have until the end of the Feasibility Period to remove those exceptions which Seller agrees to remove.

Seller's Title Notice. If Seller does not so notify Buyer within the time specified, Seller will be deemed to have delivered Seller’s Title Notice to Buyer on the fifth (5th) day after receiving Buyer’s Title Objections stating that Seller is unwilling or unable to cure Buyer’s Title Objections.
