Title Response Date definition

Title Response Date has the meaning given such term in Section 3.4(c).
Title Response Date means 5:00 p.m. Central Time on the date that is three (3) Business Days after Seller’s receipt of Purchaser’s Title Notice.
Title Response Date shall have the meaning set forth in Section 4.1.1(3) hereof.

Examples of Title Response Date in a sentence

  • If Purchaser timely delivers a Title Notice, then Seller shall deliver, no later than 5:00 p.m. Central Time on the Title Response Date, written notice to Purchaser and Title Company identifying which disapproved items, if any, Seller shall cure (by either having the same removed or by obtaining affirmative insurance to Purchaser’s satisfaction in its reasonable discretion over the same as part of the Title Policy) (“Seller’s Response”).

  • If Lessor decides to restore and notifies Lessee within ten days after damage that restoration can be completed within 210 days, and the Premises is not materially restored within 240 days after the occurrence of such destruction, Lessee may cancel the Lease.

  • If Purchaser fails to deliver the Purchaser Title Response Notice on or before the Purchaser Title Response Date, Purchaser shall be deemed to have elected to waive the Title Defects and proceed to close.

  • If Seller does not deliver a Seller’s Response prior to the Title Response Date, Seller shall be deemed to have elected to not remove or otherwise cure any exceptions disapproved by Purchaser.

  • In the event Seller is unable or unwilling to eliminate any one or more of the Title Objections, Seller shall so notify Purchaser in writing within three (3) days of the Title Notice Date (the “Title Response Date”), and Purchaser may, as its sole and exclusive remedy, by delivering written notice thereof within three (3) days of the Title Response Date to Seller, terminate the Agreement and receive a refund of the entire Deposit, including the Hard Deposit pursuant to Section 2.2.1 hereof.

  • If Seller's Title Notice refuses to remove any items disapproved by Buyer, Buyer shall have until 5:00 p.m. on the 10th day following Seller's Title Response Date to give Seller written notice ("BUYER'S TITLE WAIVER NOTICE") that Buyer waives its prior disapproval with respect to all items which Seller has refused (or is deemed to have refused) to remove.

  • If Buyer gives Seller such written notice of termination prior to 5:00 p.m. EST on the Final Title Response Date, then this Agreement shall thereupon terminate without further action by all parties.

  • Response Deadline means 60 days after the Administrator mails Notice to Class Members and Aggrieved Employees, and shall be the last date on which Class Members may: (a) fax, email, or mail Requests for Exclusion from the Settlement, or (b) fax, email, or mail his or her Objection to the Settlement. Class Members to whom Notice Packets are resent after having been returned undeliverable to the Administrator shall have an additional 14 calendar days beyond the Response Deadline has expired.

  • Response Date has the meaning assigned to such term in Section 2.22(a).

  • Response Period has the meaning set forth in Section 9.6(a).

  • Claims Objection Deadline means the later of: (a) the date that is 180 days after the Effective Date; and (b) such other date as may be fixed by the Bankruptcy Court, after notice and hearing, upon a motion Filed before the expiration of the deadline to object to Claims or Interests.

  • Claim Objection Deadline means the first Business Day that is 180 days after the Effective Date, as may be extended by order of the Bankruptcy Court.

  • Title Review Period shall have the meaning set forth in Section 4.3.

  • Repurchase Response Notice means a notice delivered by the Indenture Trustee at the direction of the Administrator to a Noteholder or Note Owner indicating that a Repurchase Request is unresolved.

  • Objection/Exclusion Deadline means the date by which a written objection to this Settlement Agreement or a request for exclusion submitted by a Person within the Settlement Class must be made, which shall be designated as a date no later than forty-five (45) days after the Notice Date and no sooner than fourteen (14) days after papers supporting the Fee Award are filed with the Court and posted to the settlement website listed in Paragraph 4.1(d), or such other date as ordered by the Court.

  • Plan Objection Deadline means the deadline established by the Bankruptcy Court for filing objections to confirmation of the Plan.

  • Margin Notice Deadline means the time agreed to by the parties in the relevant Confirmation, Schedule B hereto or otherwise as the deadline for giving notice requiring same-day satisfaction of xxxx-to-market obligations as provided in Section 9 hereof (or, in the absence of any such agreement, the deadline for such purposes established in accordance with market practice).

  • Response Notice is defined in Section 14.3(b)(ii).

  • Application Deadline means 5:00 p.m., Eastern Time, on the final day of the Application Period.

  • Title Objection shall have the meaning assigned thereto in Section 8.5.

  • Title Objections has the meaning ascribed to such term in Section 6.2(a).

  • Claims Objection Bar Date means the deadline for objecting to a Claim, which shall be on the date that is the later of (a) 180 days after the Effective Date and (b) such other period of limitation as may be specifically fixed by the Debtors or the Reorganized Debtors, as applicable, or by an order of the Bankruptcy Court for objecting to Claims.

  • Election Deadline shall have the meaning set forth in Section 3.2.3.

  • Solicited Discounted Prepayment Response Date has the meaning set forth in Section 2.05(a)(v)(D)(1).

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • Notice Date has the meaning specified in Section 2.10.

  • Objection Notice has the meaning set forth in Section 2.3(a) of this Agreement.

  • Removal Notice Date means, with respect to the Removed Accounts designated hereby, , (which shall be a date on or prior to the fifth Business Day prior to the Removal Date).

  • Review Period has the meaning set forth in Section 2.04(c)(i).

  • Discount Range Prepayment Response Date has the meaning set forth in Section 2.05(a)(v)(C)(1).
