Service Provider Response to External Audits. If an audit by a governmental body, standards organization or regulatory authority having jurisdiction over DIR, a DIR Customer or Service Provider results in a finding that Service Provider is not in compliance with any applicable Law or standard, including any generally accepted accounting principle or other audit requirement relating to the performance of its obligations under this Agreement, Service Provider shall, if and to the extent such audit deficiency or finding of non-compliance results from Service Provider's failure to comply with its obligations under this Agreement, at its own expense and within the time period specified by such auditor, address and resolve the deficiency(ies) identified by such audit governmental body, standards organization or regulatory authority, in the manner approved by DIR, to the extent necessary to comply with Service Provider's obligations under this Agreement.
