Service Schedules. The respective Service Schedules designated Service Schedule A - Emergency Service Service Schedule B - Interchange Energy Service Schedule C - Short Term Power and Energy Service Schedule D - Carmel Southeast Tap Power & Energy Transfer have been agreed upon between the Parties, are identified as Exhibits I, II, III, and IV, respectively, to the 1992 Agreement and are attached hereto and made a part hereof the same as if incorporated herein. It is contemplated by the Parties that all additional mutually agreed upon Service Schedules will be made a part of the 1992 Agreement upon presentation and acceptance thereof.

Service Schedules. (a) Commencing on the Effective Date and continuing throughout the Service Term applicable to each Service, the Service Provider (including through its Affiliates and Third Party Service Providers) shall provide the Services to the Recipient pursuant to the terms of this Agreement and as set forth in the Schedules. In the event of any discrepancy between this Agreement and any Schedule, this Agreement shall govern unless the Schedule expressly overrides this Agreement. (b) Unless otherwise expressly set forth on any particular Schedule or Schedules (in which such case the terms set forth on such Schedule or Schedules shall govern the modification or supplementation of such Schedule or Schedules), after the date hereof, the Schedules may be modified or supplemented only by mutual agreement of the Parties. (c) Notwithstanding the fact that prior to the Effective Date the Service Provider may have performed Services without charge for the Recipient according to past practice in the ordinary course of business, the Recipient is hereby required to pay the Service Provider for such Services in accordance with the terms of the Agreement including Article III hereof.
Service Schedules. The term of each Service shall be the Service Term for that Service.
Service Schedules. 3.2.1. Subject to clause 20 below, the duration period of each of the Services shall be as specified in each Service Schedule or Proposal. The Parties may agree to an initial period under a Service Schedule or Proposal or Quote (“Initial Period”). Where an Initial Period has been agreed to, the Services shall endure for the agreed Initial Period, calculated from the Effective Date and thereafter shall be renewed automatically for successive periods (“subsequent” period) as agreed under the relevant Service Schedule (“Service Schedule Term”). Where no Initial Period has been agreed to the Services will expire on delivery of the Services as agreed to in the Proposal and/or Quote; 3.2.2. The Customer may during the Initial period of any Service, terminate the particular Service at the end of the Initial period of that Service by way of at least 30 (thirty) days prior written notice (“Termination Notice”); 3.2.3. Should Termination Notice at the end of a particular Service Initial period not be given in terms of clause 3.2.2 the particular Service shall automatically be renewed for the Subsequent period. Similar to the cancellation of the Initial period in 3.2.2, the Customer may during the subsequent periods terminate a particular Service at the end of each Subsequent period giving the other party 90 (ninety) days prior written notice.
Service Schedules. Parent and Buyer acknowledge and agree that: (i) as of the date hereof, the Service Schedules (as defined in the Transition Services Agreement and Reverse Transition Services Agreement, respectively) reflect the material terms and conditions regarding the Services (as defined in the Transition Services Agreement and Reverse Transition Services Agreement, respectively) and shall be binding on the parties, subject to the remaining clauses (ii) - (iv) of this sentence; (ii) the parties shall continue to negotiate in good faith the Service Schedules during the period between the date hereof and the Closing Date and shall update such Service Schedules with such additional details regarding the Services (including the scope thereof and the allocation of ownership of any newly developed Intellectual Property created for the benefit of the Business that is not otherwise addressed in Section 2.09(d) of the Transition Services Agreement) upon which they mutually agree, in which case, such updated Service Schedules shall become the Service Schedules referred to in the Transition Services Agreement and Reverse Transition Services Agreement, as applicable; (iii) if, during the period between the date hereof and the Closing Date, Parent or Buyer learns of (A) any additional services (other than the Excluded Services) provided by the Service Provider Parties (as defined in the Transition Services Agreement) to the Business during the Reference Period (as defined in the Transition Services Agreement), or (B) any changes to the Services set forth on the Service Schedules that are reasonably necessary to reflect the services (other than Excluded Services) provided by the Service Provider Parties to the Business during the Reference Period (as defined in the Transition Services Agreement), in each case that are needed by the Service Recipients (as defined in the Transition Services Agreement) during the term of the Transition Services Agreement to operate the Business in substantially the same manner as the Business had been operated during the Reference Period (as defined in the Transition Services Agreement), then the parties shall add such additional services and changes to the Service Schedules and such additional services and changes shall be billed consistent with the billing methods used by Parent and its Affiliates for the applicable services to the Business during the Reference Period (or, with respect to any such changes pursuant to clause (B) with respect to (1)(t...

Service Schedules. 2.1.1 Service Schedules 1 through 8 attached hereto and made a part of this Agreement describe the services to be provided by Asia Netcom and its Subsidiaries to EAN Network and its Subsidiaries (the "Services"). The Parties have made a good faith effort as of the date hereof to identify each Service to be provided hereunder and to describe such Service on the relevant Service Schedules as completely and accurately as possible. In the event that any Service Schedule is incomplete or inaccurate, the Parties agree to use good faith efforts to modify such Service Schedule to describe such Service completely and accurately. 2.1.2 From time to time, the Parties may also identify additional Services that they wish to incorporate into this Agreement. In such circumstances, the Parties agree to create additional Service Schedules describing such Services, the Fees for such Services and any other terms and conditions applicable thereto. 2.1.3 In the event certain terms that are specifically set forth in the Service Schedule attached hereto conflict with the terms set forth in this Agreement, the conflicting terms set forth in the Service Schedule shall govern in all cases with respect to that particular Service.
Service Schedules. Each Service Schedule shall, at a minimum, include: ----------------- (i) a description of the service, term, and pricing, (ii) the obligations and responsibilities of each party related to the Genuity Service offered under the Service Schedule; (iii) any required End User contract terms (i.e., mandatory flowdown terms) that apply when Xxxx Atlantic markets or resells the Genuity Service; and (iv) applicable service level agreements.
