Common use of Service to Employer Clause in Contracts

Service to Employer. During your employment under this Agreement you will: (a) well and faithfully serve the Company, at all times act in, and promote, the best interests of the Company, and devote substantially the whole of your working time, attention and energies to the business and affairs of the Company; (b) comply with all rules, regulations, policies and procedures of the Company; and (c) not sit on more than three boards of directors (excluding the Company), and agree not, without the prior approval of the Board, to carry on or engage in any other business or occupation or become a director, officer, employee or agent of or hold any position or office with any other corporation, firm or person, except as a volunteer for a non-profit organization, for personal investments or a personal holding company, which may include members of your family as shareholders.

Service to Employer. During your employment under this Agreement you will: (a) well and faithfully serve the Company, at all times Corporation; (b) act in, in and promote, promote the best interests of the Company, Corporation; (c) apply your skill and experience to the performance of your duties and responsibilities and devote substantially the whole of your working time, attention and energies to the business and affairs of the CompanyCorporation; (bd) comply with all rules, regulations, lawful policies and procedures of put in place by the CompanyCorporation from time to time; and (ce) not sit on more than three boards of directors (excluding the Company), and agree not, without the prior approval of the Board, to carry on or engage be engaged in any other business or occupation or become a director, officer, employee or agent of or hold any position or office with any other corporation, firm or person, except as a volunteer for a non-profit organizationorganization or in respect of civic or community activities, for personal investments or a personal holding company, which may include members provided that such activities do not materially interfere with the performance of your family as shareholdersduties under this Agreement.

Service to Employer. During your employment under this Agreement you will: (a) well and faithfully serve the CompanyCorporation, at all times act in, and promote, the best interests of the CompanyCorporation, and devote substantially the whole of your working time, attention and energies to the business and affairs of the CompanyCorporation; (b) comply with all rules, regulations, policies and procedures of the CompanyCorporation; and (c) not sit on more than three prior to December 31, 2002 reduce the number of boards of directors (excluding the Company)upon which you sit to 3, and agree not, without the prior approval of the Board, to carry on or engage in any other business or occupation or become a director, officer, employee or agent of or hold any position or office with any other corporation, firm or person, except as a volunteer for a non-profit organization, for personal investments or a personal holding company, which may include members of your family as shareholders.
