Common use of Servicer Compliance Statement Clause in Contracts

Servicer Compliance Statement. On or before March 5 of each calendar year, commencing in 2007, the Company shall deliver to the Purchaser and any Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the Company, to the effect that (i) a review of the Company’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 5 10 of each calendar year, commencing in 2007, the Company Servicer shall deliver to the Purchaser Owner, the Master Servicer and any Depositor a statement of compliance addressed to the Purchaser Owner, the Master Servicer and such Depositor and signed by an authorized officer of the CompanyServicer, to the effect that (i) a review of the Company’s servicing Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 5 1st of each calendar year, commencing in 2007, the Company Servicer shall deliver to the Purchaser Master Servicer and any the Depositor a statement Servicing Officer’s certificate in the form of compliance Exhibit J hereto, addressed to the Purchaser Master Servicer and such the Depositor and signed by an authorized officer of the CompanyServicing Officer, to the effect that (i) a review of the CompanyServicer’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officerServicing Officer’s supervision, and (ii) to the best of such officers’ Servicing Officer’s knowledge, based on such review, the Company Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. Servicer Compliance Statement. On or before March 5 1 of each calendar year, commencing in 2007, the Company Interim Servicer shall deliver to the Purchaser and any Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the CompanyInterim Servicer, to the effect that (i) a review of the Company’s servicing Interim Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company Interim Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 5 1 of each calendar year, commencing in 2007, the Company Servicer shall deliver to the Purchaser Seller, the Trustee and any the Depositor a statement of compliance addressed to the Purchaser Seller and such the Depositor and signed by an authorized officer of the CompanyServicer, to the effect that (i) a review of the Company’s servicing Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Mortgage Loan Purchase Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Mortgage Loan Purchase Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 5 10th of each calendar year, commencing in 2007, the Company Servicer shall deliver to the Purchaser and any Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the CompanySeller, to the effect that (i) a review of the Company’s servicing Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 5 of each calendar year, commencing in 2007, the Company shall deliver to the Purchaser Purchaser, the Master Servicer and any the Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the Company, to the effect that (i) a review of the Company’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 5 15 of each calendar year, commencing in 2007, the Company Servicer shall deliver to the Purchaser Owner, any Master Servicer and any Depositor a statement of compliance addressed to the Purchaser Owner, such Master Servicer and such Depositor and signed by an authorized officer of the CompanyServicer, to the effect that (i) a review of the CompanyServicer’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 5 1 of each calendar year, commencing in 2007, the Company shall deliver to the Purchaser Purchaser, any Master Servicer and any Depositor a statement of compliance addressed to the Purchaser Purchaser, such Master Servicer and such Depositor and signed by an authorized officer of the Company, to the effect that (i) a review of the Company’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 5 1 of each calendar year, commencing in 20072008, the Company Servicer shall deliver to the Purchaser Owner, any Master Servicer and any Depositor a statement of compliance addressed to the Purchaser Owner and such Depositor and signed by an authorized officer of the CompanyServicer, to the effect that (i) a review of the CompanyServicer’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before The Company shall make reasonable best efforts by March 5 1, but in no event later than March 15, of each calendar year, commencing in 2007, the Company shall to deliver to the Purchaser and any Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the Company, to the effect that (i) a review of the Company’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. Servicer Compliance Statement. On or before March 5 1 of each calendar year, commencing in 20072008, each of the Company Initial Servicer and the Successor Servicer shall deliver to the Purchaser Master Servicer and any the Depositor a statement of compliance addressed to the Purchaser Master Servicer and such the Depositor and signed by an authorized officer of the Companysuch Servicer, to the effect that (i) a review of the Company’s servicing such Servicer's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company such Servicer has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. Servicer Compliance Statement. Servicer Compliance Statement. On The Company shall deliver using best reasonable efforts on or before March 5 1, but in no event later than March 15, of each calendar year, commencing in 2007, the Company shall deliver to the Purchaser and any Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the Company, to the effect that (i) a review of the Company’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company has fulfilled all of its servicing obligations under this the Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On The Company shall deliver using best reasonable efforts on or before March 5 1, but in no event later than March 15, of each calendar year, commencing in 2007, the Company shall deliver to the Purchaser and any Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the Company, to the effect that (i) a review of the Company’s servicing 's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company has fulfilled all of its servicing obligations under this the Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 5 of each calendar year, commencing in 2007, the Company shall deliver to the Purchaser Owner, the Master Servicer and any the Depositor a statement of compliance addressed to the Purchaser Master Servicer, the Owner and such Depositor and signed by an authorized officer of the Company, to the effect that (i) a review of the Company’s servicing activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s supervision, and (ii) to the best of such officers’ knowledge, based on such review, the Company has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

Servicer Compliance Statement. On or before March 5 1 of each calendar year, commencing in 2007, the Company Servicer shall deliver to the Purchaser and any Depositor a statement of compliance addressed to the Purchaser and such Depositor and signed by an authorized officer of the CompanyServicer, to the effect that (i) a review of the Company’s servicing Servicer's activities as servicer during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company Servicer has fulfilled all of its servicing obligations under this the Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.

On or before March 5 1 of each calendar year, commencing in 2007, the Company Seller shall deliver to the Purchaser and any Depositor or Purchaser's Agent a statement of compliance addressed to the Purchaser and such Depositor or Purchaser's Agent and signed by an authorized officer of the CompanySeller, to the effect that (i) a review of the Company’s servicing Seller's activities during the immediately preceding calendar year (or applicable portion thereof) and of its performance under the servicing provisions of this Agreement and any applicable Reconstitution Agreement during such period has been made under such officer’s 's supervision, and (ii) to the best of such officers’ ' knowledge, based on such review, the Company Seller has fulfilled all of its servicing obligations under this Agreement and any applicable Reconstitution Agreement in all material respects throughout such calendar year (or applicable portion thereof) or, if there has been a failure to fulfill any such obligation in any material respect, specifically identifying each such failure known to such officer and the nature and the status thereof.
