Services and Subscriptions. Partner shall comply with Dell’s guidelines and training materials, including all applicable Service Offering Description, Offering Specific Terms, or Service Specification for such Offerings for the period agreed in the Order, with regards to the Services. The activation process and the duration of Subscriptions Orders are described in the Service Specification. Partner shall ensure that this is accurately reflected in the End User Agreement.
a) The performance of Services purchased and resold by Partner to End User is hereby sub- contracted by Partner to Dell for delivery to the End User by Dell, its third party providers, or sub-contractors.

In the event of any conflict between this Agreement and the terms set forth in the Order Form, the Order Form shall control, except this Agreement shall govern all terms relating to intellectual property rights, confidential information, warranty, indemnity and liability. Additional Order Forms may be entered into by the Parties to subscribe to additional or different features of the Services.
