Services and Transition Sample Clauses

Services and Transition. During the Term of this Agreement, LS&S will provide the City with professional and personal services, staff, operate and manage the City's library (the "Library"), provide the labor and management services described in Schedule A attached to this Agreement, and work with the City to transition Library operations to the City’s internal management team (collectively, the "Services"). To effectuate a seamless transition, LS&S and the City will each designate a Point of Contact responsible for developing and approving a detailed Transition Plan. The City Manager shall be the Point of Contact for the City. At a minimum, the Transition Plan shall address the matters listed below. The Transition Plan, once approved by the Parties’ respective Points of Contact, shall become a part of this Amendment and shall be attached as an Appendix to this Agreement. (a) The Parties will develop a monthly schedule of activities, internal and external, to be conducted in Library buildings and other City property. (b) LS&S and the City will identify the steps each Party will take to ensure that LS&S will transfer all Library-related data to the City. Each step will conform to the City’s data security requirements and each step shall have a completion deadline. (c) LS&S will prepare a proposal for transferring patron data that ensures confidentialit y protections for City Manager approval.
