SERVICES COVERED. 58.1 To the extent required by Applicable Law and subject to the terms and conditions of this Agreement, CLEC will interconnect its network with CenturyLink’s network for the transmission, routing and termination of Local Traffic, ISP-Bound Traffic, IntraLATA LEC Toll Traffic, Local and Toll VoIP- PSTN Traffic, Transit Traffic and Jointly Provided Switched Access Service Traffic. This Agreement is intended only for traffic consisting of wireline to wireline communications, not for Mobile Wireless Service traffic, and neither Party will route Mobile Wireless Service traffic to the other Party (other than Transit Traffic) without first executing a separate written agreement to govern such traffic.
58.1.1 This Article governs the Interconnection of network facilities of the Parties, and the transport, termination and billing of Local Traffic, ISP-Bound Traffic, IntraLATA LEC Toll Traffic, VoIP- PSTN Traffic and Transit Traffic between CenturyLink and CLEC.
58.1.2 The Parties shall use separate two-way Feature Group D trunks for the exchange of equal-access InterLATA Toll Traffic or IntraLATA Toll Traffic, (other than IntraLATA LEC Toll Traffic, Toll VoIP-PSTN or Jointly Provided Switched Access Traffic), and such trunks shall be ordered out of and subject to the applicable access Tariffs. As required by the applicable Tariff, any Local Traffic routed over Feature Group D trunks is subject to the applicable access Tariff and rates.
58.1.3 In the event CLEC routes any traffic to CenturyLink in violation of this Agreement, CenturyLink shall be entitled to seek injunctive relief and to recover damages, including without limitation, compensation for such traffic at access rates.
58.1.4 Each Party is solely responsible for the services it provides to its End Users and to other providers.

SERVICES COVERED. USBFS shall allow access to INFORMA Services by authorized Users on behalf of the Trust in accordance with the terms of this Exhibit C. By entering into the agreement with the Trust to provide services pursuant to this Exhibit C, USBFS hereby consents to extraction of Trust Files, as defined below, from TA2000 and instructs DST to extract Files from TA2000 for authorized Users.

Designating an operational team to carry out subscription agent duties, including document review and execution of legal agreement, review of subscription form and communication materials, project management, and on-going project updates and reporting • Converting RiverNorth Opportunities Fund, Inc. shareholder file to Computershare’s corporate actions system • Coordinating the offering with the Depositary Trust Company • Interfacing with the information agent • Calculating the rights to be distributed to each shareholder • Printing shareholder information on the subscription form • Coordinating the mailing of subscription materials to shareholders with the information agent • Tracking and reporting the number of subscriptions made, as required • Processing the rights received and exercised • Selling the rights as requested by shareholders • Depositing participant checks daily • Providing receipt summation of checks received • Prorating subscriptions as required • Forwarding funds to RiverNorth Opportunities Fund, Inc. at the end of the offering period • Calculating, issuing and mailing shares and refund checks • Calculating, issuing, mailing and collecting invoices, if applicable • Calculating, issuing and mailing of solicitation checks, if applicable
