Services Location. Except where otherwise permitted under Schedule C, the Contractor shall deliver the Services only at the Facility(ies) identified in Schedule C, which may be changed only as set out in sections 5.1 to 5.3 of this Agreement. The Facility(ies) must at all times comply with the requirements set out in Schedule C.

If the Services are provided at the location of the Customer, the Customer is obliged to make the facilities required for the Services available in a timely manner. If the Services cannot take place or are delayed because the Customer has not complied with the aforementioned obligation, all consequences thereof will be for the account and risk of the Customer. Thriven is also entitled to give instructions with regard to the suitability of the location and the facilities available there before the start of the Services.
Services Location. 3.1 The Executive shall serve the Company faithfully, efficiently and diligently as its Chairman and as a general advisor with respect to the Company’s business. 3.2 The Executive shall be available to render such services to the Company from time to time in person, upon reasonable notice to the Executive, as the Company shall reasonably deem necessary; provided, however, that the Executive shall not be required to perform more than twenty-five (25) hours of service per week during the first year of the Term, and ten (10) hours of service per week during each of the second and third years of the Term. 4. COMPENSATION The Company agrees to pay the Executive during the Term for all services to the Company, and the Executive agrees to accept, compensation in the amount of (i) Three Hundred Thousand ($300,000) Dollars during the first year of the Term and (ii) One Hundred Thousand ($100,000) Dollars during each of the second and third years of the term. 5.

Except as expressly provided under this Agreement or Schedule J or consented to by SIRVA in writing, the Services shall be performed from, and the project staff performing the Services shall be located in SIRVA facilities in the Chicago metropolitan area, Illinois and Fort Xxxxx, Indiana; provided that if VENDOR CONSORTIUM requires temporary additional staff or resources, it may with prior notice to SIRVA perform portions of such work on a temporary basis at other sites. The Parties will be developing a mutually acceptable plan for the transition of Services from onsite to offshore and from SIRVA's Fort Xxxxx Data Center to ACS' Dallas data center.
