Settlement of Force Majeure. If any Party under this Agreement acknowledges that any event of the Force Majeure has occurred or is occurring and such event would cause any issues and problems of an adverse effect on the host, schedule, operation or financial plan of the Asian Para Games 2026, or the safety of the participants or the public in the Asian Para Games 2026, All Parties under this Agreement shall discuss such issues and problems, with a view to agreeing on resolution measures, including, but not limited to, the cancellation, relocation, advancement, postponement or interruption of the Asian Para Games 2026, an Asian Para Games 2026 Event or some Asian Para Games 2026 Events, and/or the negotiation in good faith in relation to additional costs and expenses. In the event of the occurrence of any disbursement of any additional costs and expenses, the APC, the City and the LOC shall bear such costs and expenses and the ratio of the charge for those shall be determined through the discussion among the APC, the City and the LOC.

  • Termination In the event that either Party seeks to terminate this DPA, they may do so by mutual written consent so long as the Service Agreement has lapsed or has been terminated. Either party may terminate this DPA and any service agreement or contract if the other party breaches any terms of this DPA.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
