Severabilixx. Xx xxx xxxxxxxxx xx xxxx Xxxxxxxxx xxall be held or made invalid by a court decision, statute, rule or otherwise, the remainder of this Agreement shall not be affected thereby.
Severabilixx. Xx xxx xxxm or condition of this Agreement shall be invalid or unenforceable to any extent or in any application, then the remainder of this Agreement, and such term or condition except to such extent or in such application, shall not be affected thereby, and each and every term and condition of this Agreement shall be valid and enforceable to the fullest extent and in the broadest application permitted by law.
Severabilixx. Xx xxy of the provisions of this Axxxxxxxx shall contravene any law or regulation or be held invalid, this Agreement shall be construed as if not containing those provisions, and the rights and obligations of the parties hereto shall be construed and enforced accordingly.
Severabilixx. Xxx xxvalidity or unenforceability of any particular provision of this Amended Agreement shall not affect the other provisions hereof, and this Amended Agreement shall be construed in all respects as if such invalid or unenforceable provisions were omitted. In addition, if any provision of this Amended Agreement may be modified by a court of competent jurisdiction such that it may be enforced, then that provision shall be so modified and as modified, shall be fully enforced.
Severabilixx. Xx xxx xxent that any prxxxxxon of this Agreement, or the application of any such provision to any Person or set of circumstances, shall be determined to be invalid, unlawful, void or unenforceable to any extent, the remainder of this Agreement, and the application of such provision to Persons or circumstances other than those as to which it is determined to be invalid, unlawful, void or unenforceable, shall not be impaired or otherwise affected and shall continue to be valid and enforceable to the fullest extent permitted by law. Upon such determination that any term other provision is invalid, illegal or incapable of being enforced, the parties hereto shall negotiate in good faith to modify this Agreement so as to effect the original intent of the parties as closely as possible to the fullest extent permitted by applicable law in an acceptable manner to the end that the transactions contemplated hereby are fulfilled to the extent possible.
Severabilixx. Xxxxing contained in this Agreement shall be construed to require the commission of any act contrary to law, statute, ordinance, order or regulation, and wherever there is any conflict between any provision of this Agreement and any of the foregoing, contrary to which the Parties hereto have no legal right to contract, such law, statute, ordinance, order or regulation shall prevail; provided, however, in such event: (a) the provision of this Agreement so affected shall be limited only to the extent necessary to permit compliance with the minimum legal requirement; (b) no other provisions of
Severabilixx. Xx xxx xxe or more of the provisions of this Termination Agreement shall be found by a court of competent jurisdiction to be unreasonably restrictive, under the circumstances, then such provision or provisions shall be modified by such court so as to apply the same to the maximum extent allowed by law and any such modification shall not affect the validity of any other provision contained in this Termination Agreement.
Severabilixx. Xx xxx xxxxt any provision hereof will be deemed invalid or unenforceable by any court or governmental agency of competent jurisdiction, such provision will be deemed severed from this Agreement and all remaining provisions will be afforded full force and effect as if such severed provision had never been a provision hereof and the parties will substitute for any such invalid or unenforceable provision, a valid and enforceable provision of similar economic intent and effect.
Severabilixx. Xf any provision of this Agreement is held invalid or unenforceable by any court of competent jurisdiction, the other provisions of this Agreement will remain in full force and effect. Any provision of this Agreement held invalid or unenforceable only in part or degree will remain in full force and effect to the extent not held invalid or unenforceable.
Severabilixx. Xxx xxxxxxxxx xx xxxx Xxxxxxxxx xxxxx xx prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition of enforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction. The parties shall endeavor in good-faith negotiations to replace the invalid, illegal or unenforceable provisions with valid provisions, the economic effect of which comes as close as possible to that of the invalid, illegal or unenforceable provisions.
