Common use of Shall Clause in Contracts

Shall.  Have maximum legal discretionary authority to construe and interpret the terms and provisions of the Plan.  Make determinations regarding eligibility for benefits, decide disputes relative to a Plan Participants rights, and decide questions of Plan interpretations and those of fact relating to the Plan.  Have authority to remedy ambiguities, inconsistencies or omissions.  Delegate to any person or entity such powers, duties and responsibilities it deems appropriate.
