Share Price Targets. RSUs shall be awarded in the tranches below in accordance with the following Share Price Performance Targets: Share Price Performance Target for 60 Consecutive Days or Change in Control # of Units $13 185,000 $15 185,000 The number of RSUs that will be earned in any tranche that is not yet issued or the number of shares underlying any RSUs that have been issued, as the case may be, shall be subject to adjustment in the event of any stock split, reverse stock split, stock dividend, recapitalization, combination or reclassification of shares or any other change in capitalization. In no event shall the Executive be eligible for more than one tranche of the RSUs at any Share Price Performance Target as determined by the trading price or Change in Control value or combination of either. (In other words, if the Share Price Performance Target were met at $13, he or she would receive RSUs equivalent to 185,000 shares plus RSUs equivalent to 180,000 (the $11 target) but only if the $11 target had not previously been paid.) In addition, the maximum number of shares or cash equivalents that can be issued with respect to this Plan is 550,000 shares.
Share Price Targets. Achieved when 90 day VWAP of the Company’s common stock (measured after the Start Date) equals or exceeds the applicable price set forth below:
Share Price Targets. ​ The RSUs shall be earned based on the Company’s achievement of up to two (2) Share price targets during the Performance Period. Specifically, on each Target Price Achievement Date that occurs during the Performance Period, a number of RSUs equal to fifty percent (50%) of the Target Award shall be earned for each Target Price Level that is achieved on such Target Price Achievement Date, rounded up to the nearest whole RSU. ​ If, on a given Target Price Achievement Date, more than one Target Price Level is achieved for the first time, then the number of RSUs that shall be earned on such Target Achievement Date shall be equal to the product of (i) fifty percent (50%) of the Target Award multiplied by (ii) the number of Target Price Levels that are achieved for the first time on such Target Price Achievement Date, rounded up to the nearest whole RSU. No more than one Target Price Achievement Date may occur during the Performance Period with respect to each Target Price Level. If, during the Performance Period, a Target Price Achievement Date occurs with respect to the highest Target Price Level (i.e., $109.05), then the number of RSUs that shall be earned on such Target Price Achievement Date shall be reduced, if necessary, such that the total number of RSUs that are earned during the Performance Period shall be equal to 100% of the Target Award. ​ For the avoidance of doubt, RSUs that are earned pursuant to this Exhibit A remain subject to vesting as provided in Section 2 of this Agreement.
Share Price Targets. For purposes of this Award Agreement, the Performance Percentage shall be determined as of any given date by matching the Volume Weighted Average Share Price on such date with the corresponding percentage listed in the Share Price Table below. To the extent that the applicable Volume Weighted Average Share Price falls between the incremental levels contained in this Share Price Target Table, the Performance Percentage shall be determined based on a linear pro ration between the relevant increments rounded to the nearest percentage point. TOTAL SHAREHOLDER RETURN INDUCEMENT PERFORMANCE SHARE AWARD AGREEMENT THIS TOTAL SHAREHOLDER RETURN PERFORMANCE SHARE AWARD AGREEMENT (the “Award Agreement”), dated as of [_____] (the “Grant Date”), by and between Rentech, Inc., a Colorado corporation (the “Company”), and ▇▇▇ ▇. ▇▇▇▇▇ (the “Executive”), confers upon the Executive the right to receive Stock, the payment of which is contingent upon achieving specified performance-based targets established by the Committee, as provided herein. This Award Agreement is entered into as a material inducement, within the meaning of Section 711(a) of the Rules of the American Stock Exchange, for the Executive to accept employment with the Company pursuant to that certain Employment Agreement, dated as of [_____], between the Executive and the Company (the “Employment Agreement”). The award of Performance Shares provided for herein (the “Performance Share Award”) is made in satisfaction of the Company’s obligation to grant Total Shareholder Return Shares arising under Section 3(b)(ii) of the Employment Agreement.
