Shareholders’ right to information. 1. From the day of publication of the notice of General Meeting, Shareholders may request in writing any information or clarifications they deem necessary and may submit in writing any questions they consider pertinent on matters included in the agenda. For an Ordinary General Meeting and in other cases specified by law, the notice must also inform Shareholders of their right to examine at the registered office any documents that are to be submitted to the Shareholders for approval and any report required by law, and to obtain copies thereof immediately and free of charge.

Shareholders’ right to information. (a) The Company shall engage a reputable accounting firm practicing in China as its external auditor. The external auditor shall review the Company's accounts and issue the Company's consolidated annual financial audit report in accordance with the Chinese Accounting System. The above report shall be submitted by the Company's general manager to the board of directors for approval. The Company shall provide the external auditor with all documents and accounting books required by the external auditor to conduct the normal external audit work. The external auditor must agree to keep confidential all information obtained during the audit.

  • Right to Seek Assurances The Transfer Agent reserves the right to refuse to transfer or redeem Shares until it is satisfied that the requested transfer or redemption is legally authorized, and it shall incur no liability for the refusal, in good faith, to make transfers or redemptions that the Transfer Agent, in its judgment, deems improper or unauthorized, or until it is satisfied that there is no basis for any claims adverse to such transfer or redemption.   • NONPUBLIC PERSONAL INFORMATION Notwithstanding any provision herein to the contrary, the Sub-Adviser agrees on behalf of itself and its directors, shareholders, officers, and employees (1) to treat confidentially and as proprietary information of the Adviser and the Trust (a) all records and other information relative to each Fund’s prior, present, or potential shareholders (and clients of said shareholders) and (b) any Nonpublic Personal Information, as defined under Section 248.3(t) of Regulation S-P (“Regulation S-P”), promulgated under the Gxxxx-Xxxxx-Xxxxxx Act (the “G-L-B Act”), and (2) except after prior notification to and approval in writing by the Adviser or the Trust, not to use such records and information for any purpose other than the performance of its responsibilities and duties hereunder, or as otherwise permitted by Regulation S-P or the G-L-B Act, and if in compliance therewith, the privacy policies adopted by the Trust and communicated in writing to the Sub-Adviser. Such written approval shall not be unreasonably withheld by the Adviser or the Trust and may not be withheld where the Sub-Adviser may be exposed to civil or criminal contempt or other proceedings for failure to comply after being requested to divulge such information by duly constituted authorities.

  • Seller’s Rights The Seller shall have the right to require the return of any Warranted Part, or any part removed therefrom, which is claimed to be defective if, in the judgment of the Seller, the nature of the claimed defect requires technical investigation. Such return shall be subject to the provisions of Clause 12.1.6.2. Furthermore, the Seller shall have the right to have a Seller Representative present during the disassembly, inspection and testing of any Warranted Part claimed to be defective, subject to such presence being practical and not unduly delaying the repair.
