Shelby County. SCSB and each of the Subsidiaries shall maintain, or cause to be maintained, in full force and effect, insurance on its assets, properties and operations, fidelity coverage and directors' and officers' liability insurance on its directors, officers and employees in such amounts and with regard to such liabilities and hazards as are currently insured by Shelby County, SCSB and the Subsidiaries as of the date of this Agreement.

Shelby County. The obligations of Shelby County and SCSB to consummate the Transaction is subject to the satisfaction and fulfillment of each of the following conditions on or prior to the Effective Time, unless waived in writing by Shelby County: (a) Representations and Warranties at Effective Time. Each of the representations and warranties of Blue River contained in this Agreement shall be true, accurate and correct in all material respects on and as of the Effective Time as though such representations and warranties had been made or given at and as of the Effective Time.
