Common use of Single Points of Contact Clause in Contracts

Single Points of Contact. The Parties shall identify to each other with specificity including contact information a list of either a single person or a small number of individuals as the Party's single point(s)-of-contact who are permitted to interact with the other Party concerning the day-to-day administration of the Contract including discussions of any Transaction Documents such as statements of work, project changes requests or other documents under the Contract purporting to bind the Parties. Contractor shall respect ITS' list and generally only interact with or keep apprised those ITS single points-of-contact(s) concerning any contractual or Transaction Document matters. Contractor acknowledges and understands that this Contract is between Contractor and ITS, only. No other New York State agency or other governmental entity is authorized to represent ITS nor agree to any Transaction Documents under the Contract purporting to bind ITS or New York State. Contractor also acknowledges that ITS has specific processes for internally vetting and approving the signing by ITS of contracts and Transaction Documents by those persons whom ITS has designated as authorized signatories. ITS maintains a website on which it lists the only, specific ITS individuals who are authorized to sign contractual documents on behalf of ITS, within specified dollar limits, currently located at xxxxx://xxx.xx.xxx/notice-its- authorized-signatories. Contractor acknowledges that nobody else is authorized to sign contractual documents for ITS, even if such governmental personnel mistakenly believes and informs Contractor that they have such authority. In the event that the above-mentioned authorized-signatories website changes or Contractor is otherwise unable to discern who has authority to sign ITS contractual documents, Contractor is required to reach out to ITS' single- point(s) of contact directly to obtain access to the most current listing. Contractor shall not seek to obtain signature on any Transaction Documents under the Contract purporting to bind ITS or New York State including any statements of work, project change requests or other such documents without working through the ITS-specified single-points-of-contact. Not only are any Transaction Documents that are signed by unauthorized ITS, State or other governmental personnel null and void, but to the extent Contractor solicited such unauthorized signature Contractor is required to provide ITS with credits representing an additional retroactive 5% discount beyond any other discounts ITS has received in a previous purchase made by ITS under the Contract during the preceding fiscal year, with the specific previous purchase selected by ITS in its reasonable discretion.

Contractor acknowledges and understands that this Contract is between Contractor and ITS, only. No other New York State agency or other governmental entity is authorized to represent ITS nor agree to any Transaction Documents under the Contract purporting to bind ITS or New York State. For any request to Contractor to provide specific technical support services or perform any work under this Contract made to Contractor by any personnel of New York State or ITS other than ITS' designated single points-of-contact, Contractor shall not perform such work unless and until it has received an approved Transaction Document created for that purpose signed by an authorized ITS signatory who has received appropriate internal approvals on an ITS Internal Review Form to sign, including at minimum internal ITS approvals by representatives from ITS Data Center, ITS Finance, ITS Procurement and Contract Services, and ITS Division of Legal Affairs. Contractor shall not seek to obtain signature on any Transaction Documents under the Contract purporting to bind ITS or New York State including any statements of work, project change requests or other such documents without working through the ITS-specified single-points-of-contact. Not only are any Transaction Documents that are signed by unauthorized ITS, State or other governmental personnel null and void, but to the extent Contractor solicited such unauthorized signature from non-ITS-authorized signatories, Contractor is required to provide ITS with credits representing an additional retroactive 5% discount beyond any other discounts ITS has received in a previous purchase made by ITS under the Contract during the preceding fiscal year, with the specific previous purchase selected by ITS in its reasonable discretion.
