Supplier Staff Sample Clauses

Supplier Staff. The Supplier Staff shall at all times during the Contract Period; obey all lawful instructions and reasonable directions of the Customer; apply all due skill, care, diligence and shall be appropriately experienced, qualified and trained to supply the Services in accordance with this Contract; and shall respond to any enquiries from the Product Owner relating to the Services within the timescales agreed by the Parties (where applicable) and in any event as soon as is reasonably practicable. The Supplier acknowledges and agrees that the continuity of the Key Personnel is paramount to the success of the Project and shall ensure that Key Personnel are assigned to the Project on a full-time basis and are not removed from the Services or assigned to any other Supplier or third party projects during the Contract Period (unless otherwise Approved by the Customer). The Customer may also require the Supplier to remove and/or replace any Key Personnel that the Customer acting reasonably considers in any respect unsatisfactory. The Customer shall not be liable for the cost of removing or replacing any Key Personnel. The Customer may, by written notice to the Supplier, refuse to admit onto, or withdraw permission to remain on, the Customer’s Premises any member of the Supplier Staff or any person employed or engaged by any member of the Supplier Staff whom the Customer believes represents a security risk or does not have the required levels of training and expertise or whose admission or continued presence would, in the reasonable opinion of the Customer, be undesirable. Supplier Staff engaged within the boundaries of the Customer’s Premises shall comply with such rules, regulations and requirements as may be in force from time to time for the conduct of personnel when at or within the boundaries of those Customer’s Premises.

Supplier Staff. 4.1 The Supplier Staff must: ● be appropriately experienced, qualified and trained to supply the Services ● apply all due skill, care and diligence in faithfully performing those duties ● obey all lawful instructions and reasonable directions of the Buyer and provide the Services to the reasonable satisfaction of the Buyer ● respond to any enquiries about the Services as soon as reasonably possible ● complete any necessary Supplier Staff vetting as specified by the Buyer 4.2 The Supplier must retain overall control of the Supplier Staff so that they are not considered to be employees, workers, agents or contractors of the Buyer. 4.3 The Supplier may substitute any Supplier Staff as long as they have the equivalent experience and qualifications to the substituted staff member. 4.4 The Buyer may conduct IR35 Assessments using the ESI tool to assess whether the Supplier’s engagement under the Call-Off Contract is Inside or Outside IR35. 4.5 The Buyer may End this Call-Off Contract for Material Breach if the Supplier is delivering the Services Inside IR35. 4.6 The Buyer may need the Supplier to complete an Indicative Test using the ESI tool before the Start Date or at any time during the provision of Services to provide a preliminary view of whether the Services are being delivered Inside or Outside IR35. If the Supplier has completed the Indicative Test, it must download and provide a copy of the PDF with the 14-digit ESI reference number from the summary outcome screen and promptly provide a copy to the Buyer. 4.7 If the Indicative Test indicates the delivery of the Services could potentially be Inside IR35, the Supplier must provide the Buyer with all relevant information needed to enable the Buyer to conduct its own IR35 Assessment. 4.8 If it is determined by the Buyer that the Supplier is Outside IR35, the Buyer will provide the ESI reference number and a copy of the PDF to the Supplier.
Supplier Staff. 8.1 The Supplier Staff involved in the performance of the Contract must: 8.1.1 be appropriately trained and qualified; 8.1.2 be vetted in accordance with the Staff Vetting Procedures; and 8.1.3 comply with all conduct requirements when on the Buyer's premises. 8.2 Where the Buyer decides one of the Supplier's Staff isn’t suitable to work on the Contract, the Supplier must replace them with a suitably qualified alternative. 8.3 The Supplier must provide a list of Supplier Staff needing to access the Buyer's premises and say why access is required. 8.4 The Supplier indemnifies the Buyer against all claims brought by any person employed or engaged by the Supplier caused by an act or omission of the Supplier or any Supplier Staff. 8.5 The Buyer indemnifies the Supplier against all claims brought by any person employed or engaged by the Buyer caused by an act or omission of the Buyer or any of the Buyer’s employees, agents, consultants and contractors. 8.6 The Supplier shall use those persons nominated (if any) as Key Staff in the Order Form or otherwise notified as such by the Buyer to the Supplier in writing, following agreement to the same by the Supplier to provide the Deliverables and shall not remove or replace any of them unless: 8.6.1 requested to do so by the Buyer or the Buyer approves such removal or replacement (not to be unreasonably withheld or delayed); 8.6.2 the person concerned resigns, retires or dies or is on parental or long-term sick leave; or 8.6.3 the person's employment or contractual arrangement with the Supplier or any Subcontractor is terminated for material breach of contract by the employee. 8.7 The Supplier shall ensure that no person who discloses that they have a conviction that is relevant to the nature of the Contract, relevant to the work of the Buyer, or is of a type otherwise advised by the Buyer (each such conviction a “Relevant Conviction”), or is found by the Supplier to have a Relevant Conviction (whether as a result of a police check, a disclosure and barring service check or otherwise) is employed or engaged in the provision of any part of the Deliverables.
Supplier Staff. 2.1 The Supplier Staff will: ● fulfil all reasonable requests of the Buyer ● apply all due skill, care and diligence to the provisions of the Services ● be appropriately experienced, qualified and trained to supply the Services ● respond to any enquiries about the Services as soon as reasonably possible ● complete any necessary vetting procedures specified by the Buyer 2.2 The Supplier will ensure that Key Staff are assigned to provide the Services for their Working Days (agreed between Supplier and Buyer) and are not removed from the Services during the dates specified in the relevant SOW. 2.3 The Supplier will promptly replace any Key Staff that the Buyer considers unsatisfactory at no extra charge. The Supplier will promptly replace anyone who resigns with someone who is acceptable to the Buyer. If the Supplier cannot provide an acceptable replacement, the Buyer may terminate the Call-Off Contract subject to clause 23. 2.4 Supplier Staff will comply with Buyer requirements for the conduct of staff when on Xxxxx’s premises. 2.5 The Supplier will comply with the Buyer’s staff vetting procedures for all or part of the Supplier Staff. 2.6 The Supplier will, on request, provide a copy of the contract of employment or engagement (between the Supplier and the Supplier Staff) for every member of Supplier Staff made available to the Buyer.

Supplier Staff. 7.1 The Supplier Staff involved in the performance of each Contract must: (a) be appropriately trained and qualified; (b) be vetted using Good Industry Practice and the Security Policy; and (c) comply with all conduct requirements when on the Buyer’s Premises. 7.2 Where a Buyer decides one of the Supplier’s Staff is not suitable to work on a contract, the Supplier must replace them with a suitably qualified alternative. 7.3 If requested, the Supplier must replace any person whose acts or omissions have caused the Supplier to breach Clause 27. 7.4 The Supplier must provide a list of Supplier Staff needing to access the Buyer’s Premises and say why access is required. 7.5 The Supplier indemnifies CCS and the Buyer against all claims brought by any person employed by the Supplier caused by an act or omission of the Supplier or any Supplier Staff.
