Sole Understanding. This Agreement is the entire and sole understanding of the Parties with respect to the subject matter hereof and supersedes all other prior agreements, understandings, discussions and other communications, whether oral or written.
Sole Understanding. This Agreement contains and sets forth the entire understanding between the parties with respect to the subject matter hereof. All prior negotiations and agreements between the parties with respect to the intent and scope of this Agreement are mutually rescinded, replaced and superseded hereby.
Sole Understanding. This Agreement shall constitute the sole understanding of the Parties with respect to the subject matter and replaces all other agreements with respect thereto.

Sole Understanding. No representations, warranties, conditions or other statements not contained herein or in the Supply Agreement shall be binding on the parties hereto, and no variation of the terms hereof shall be binding on the parties unless made in writing by the authorized representatives of the parties. This Agreement and the Supply Agreement and the documents referred to herein together contain the entire agreement between the parties with respect to their subject matter and supersede and replace all prior agreements written or oral with respect thereto.
Sole Understanding. This Agreement sets forth the entire agreement and understanding between the parties as to the subject matter hereof, and supersedes, integrates and merges all prior discussions, correspondence, negotiations, understandings or agreements. The parties each represent and warrant that there are no conditions, definitions, warranties, promises, agreements, understandings or representations, or remaining obligations, written or oral, with respect to the subject matter of this Agreement, other than as expressly provided in this Agreement.
Sole Understanding. It is understood and agreed that this Agreement constitutes the sole mutual understanding regarding the subject matter of this Agreement, and that no provision hereof shall be modified or altered except in writing duly signed by both parties to this Agreement.
Sole Understanding. This Agreement embodies all of the understandings and obligations between the parties with respect to the subject matter hereof, and there are no other understandings and obligations between the parties with respect to the subject matter hereof. No change, alteration, or modification hereof shall be effective unless made in writing, approved by TWI's Board of Directors and (so long as he is an employee of TWI) by Xxxxx Xxxxxxxxxx and signed by the parties hereto.
