Common use of Solicitation and Hiring Clause in Contracts

Solicitation and Hiring. For a period of two years after the Closing Date, the Vendor shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any Restricted Employee to terminate his employment with the Purchaser or any subsidiary of the Purchaser or (b) hire or attempt to hire any Restricted Employee; provided, that this clause (b) shall not apply to any individual whose employment with the Purchaser or a subsidiary of the Purchaser has been terminated for a period of six months or longer.
