Common use of Solicitation and Hiring Clause in Contracts

Solicitation and Hiring. Except as expressly set forth herein, during the Term and for a period of twelve (12) months thereafter, Vendor will neither solicit for employment directly or indirectly, nor employ, any employees of TXU or individual TXU Third Party Contractors without the prior approval of TXU. Except as expressly set forth herein in connection with the expiration or termination of this Agreement, during the Term and for a period of twelve (12) months thereafter, TXU will neither solicit for employment directly or indirectly, nor employ, any employee of Vendor involved in the performance of Vendor's obligations under this Agreement without the prior consent of Vendor. In each case, the prohibition on solicitation and hiring shall extend ninety (90) days after the termination of the employee's employment or, in the case of Vendor employees, the cessation of his or her involvement in the performance of Services. This provision shall not operate or be construed to prevent or limit any employee's right to practice his or her profession or to utilize his or her skills for another employer or to restrict any employee's freedom of movement or association.

Except as expressly set forth herein in connection with the expiration or termination of this Agreement, during the Term and for a period of twelve (12) months thereafter, TXU ABM will neither not solicit for employment directly or indirectly, nor employ, any employee of Vendor Supplier involved in the performance of Vendor's Supplier’s obligations under this Agreement without the prior consent of VendorSupplier. In each case, the prohibition on solicitation and hiring shall extend ninety (90) days after the termination of the employee's ’s employment or, in the case of Vendor Supplier employees, the ABM/IBM Proprietary Information cessation of his or her involvement in the performance of ServicesServices under this Agreement. This provision shall not operate or be construed to prevent or limit any employee's ’s right to practice his or her profession or to utilize his or her skills for another employer or to restrict any employee's ’s freedom of movement or association.
