Common use of Solicitation and Hiring Clause in Contracts

Solicitation and Hiring. For a period of twenty-four (24) months after the Closing Date, Seller shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any employee of Buyer to terminate his or her employment with Buyer or any Affiliate of Buyer or (b) hire or attempt to hire any employee of Buyer.

Solicitation and Hiring. For a period of twenty-four three (243) months years after the Closing Date, Seller Sellers shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any employee of Buyer buyer to terminate his or her employment with Buyer or any Affiliate of Buyer or (b) hire or attempt to hire any employee of Buyer.

Solicitation and Hiring. For a period of twenty-four five (245) months years after the Closing Date, the Seller shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any employee of Buyer Restricted Employee to terminate his or her employment with the Buyer or any Affiliate subsidiary of the Buyer or (b) hire or attempt to hire any employee Restricted Employee; provided, that this clause (b) shall not apply to any individual whose employment with the Buyer or a Subsidiary of Buyerthe Buyer has been terminated for a period of six months or longer.
