Solicitation and Hiring. For a period of twenty-four (24) months after the Closing Date, Seller shall not, either directly or indirectly (including through an Affiliate), (a) solicit or attempt to induce any employee of Buyer to terminate his or her employment with Buyer or any Affiliate of Buyer or (b) hire or attempt to hire any employee of Buyer.
