Sophisticated Investor Status. The Purchaser is a sophisticated investor.
Sophisticated Investor Status. The Consultant is capable of bearing the economic risk of an investment in the Shares, including the possible loss of its entire investment, and the Consultant has such knowledge and experience in financial or business matters that it is capable of evaluating the merits and risks of an investment in the Shares offered hereby and its attendant economic risks. The Consultant has not been organized solely for the purpose of acquiring the Shares.
Sophisticated Investor Status. Quest Diagnostics represents and warrants that it has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of an investment in the Securities.
Sophisticated Investor Status. Each Fourthstage Shareholder is an Accredited Investor, as such term is defined in Rule 501 promulgated under the Securities Act. Each Fourthstage Shareholder acknowledges and agrees that the acquisition of Aperian Common Stock and the Aperian Preferred Stock pursuant to this Agreement carries a certain degree of risk and that he has taken full cognizance of and understands all of the risks related to an acquisition of Aperian Common Stock and the Aperian Preferred Stock.
Sophisticated Investor Status. Recipient represents that Recipient is a sophisticated investor. Recipient represents that to the extent it has any questions with respect to its status as a sophisticated investor, it has sought professional advice. Recipient represents that is has the requisite knowledge and experience in financial and business matters to be capable of evaluating the merits and risks of an investment in the Company.
Sophisticated Investor Status. Each Seller has such business and financial experience as is required to give him the capacity to protect his own interests in connection with the decision to receive the Note.

The Subscriber hereby represents and warrants to the Company that alone, or with its purchaser representative (as defined in Rule 501 under the Act), if any, the Subscriber has such knowledge and experience in financial and business matters so as to be capable of evaluating the merits and risks of this transaction and of an investment in the Company.
