Common use of SP INDEMNITY Clause in Contracts

SP INDEMNITY. 14.1 SP agrees to defend, indemnify and hold CLBC and its officers, directors, employees and agents (‚Indemnified Persons‛) harmless from and against any and all claims, damages, actions, causes of actions, liabilities, obligations, judgments, costs and expenses (including reasonable attorneys’ fees) that an Indemnified Person may sustain, incur, suffer, or be put to at any time, either before or after any resulting Contract ends, which are based upon, arise out of or occur, directly or indirectly, by reason of, any act or omission by the SP or by any of its agents, employees, officers, directors, or Subcontractors in providing Services, except liability arising out of any independent negligent act by an Indemnified Person.
