Special Notices to the Rating Agencies. (a) The Depositor shall give prompt notice to the Rating Agencies of the occurrence of any of the following events of which it has notice: (i) any amendment to this Agreement pursuant to Section 11.03; (ii) the occurrence of any Event of Default described in Section 6.14; (iii) any notice of termination given to the Servicer and any resignation of the Servicer in each case under the Servicing Agreement; (iv) the appointment of any successor to the Servicer the Servicing Agreement; and (v) the making of a final payment pursuant to Section 7.02. Special Notices to the Rating Agencies. (a) The Depositor shall give prompt notice to the Rating Agencies Agencies, Special Servicer and the Operating Adviser of the occurrence of any of the following events of which it has notice: (i) any amendment to this Agreement pursuant to Section 11.0313.3 hereof; (ii) the occurrence of any Event of Default described in Interim Certification and the Final Certification required pursuant to Section 6.142.2 hereof; (iii) any notice of termination given the repurchase of any Mortgage Loan pursuant to the Servicer and Section 2.3(a) hereof; (iv) any resignation of the Servicer in each case under Master Servicer, Special Servicer, the Servicing Paying Agent or the Trustee pursuant to this Agreement; (ivv) the appointment of any successor to the Master Servicer, the Fiscal Agent, the Paying Agent, the Trustee or the Special Servicer the Servicing Agreement; andpursuant to Section 7.7 or 7.14 hereof; (vvi) waiver of a due-on-sale clause as provided in Section 8.7; (vii) waiver of a prohibition on subordinate liens on the Mortgaged Properties; (viii) the making of a final payment pursuant to Section 7.0210.3 hereof; and 197 207 (ix) a Servicing Transfer Event. (d) The Master Servicer shall deliver to the Rating Agencies, the Depositor and the Special Servicer reports prepared pursuant to this Agreement (including the reports described in Sections 8.12, 8.13 and 8.14 and the Special Servicer Reports in its possession prepared pursuant to Section 4.03. In addition, the Trustee shall, at the expense of the Trust Fund, make available to each Rating Agency such 9.32) and any other information as such reasonably requested by the Rating Agency may reasonably request regarding Agencies and the Certificates or Depositor. The Paying Agent and the Trust Fund, Special Servicer shall deliver to the extent that Rating Agencies and the Depositor any information as reasonably requested by the Rating Agencies and Depositor, as the case may be. (e) Any notice or other document required to be delivered or mailed by the Depositor, Master Servicer, Paying Agent or Trustee shall be given by such information is reasonably available parties, respectively, on a best efforts basis and only as a matter of courtesy and accommodation to the TrusteeRating Agencies, unless otherwise specifically required herein, and such parties, respectively, shall have no liability for failure to deliver any such notice or document to the Rating Agencies.
