Specific Performance; Injunction; Payment of Costs. (a) The -------------------------------------------------- parties agree that it is impossible to determine the monetary damages which would accrue to the Corporation or any Stockholder or his personal representative by reason of the failure of any other Stockholder or the Corporation to perform any of his or its obligations under this Agreement requiring the performance of an act other than the payment of money only. Therefore, if any party to this Agreement or his or its legal representative shall institute an action or proceeding to enforce the provisions of this Agreement against any Stockholder or the Corporation not performing such obligations, any tribunal hearing such cause shall have the power to render an award directing one or more parties hereto to specifically perform his or its obligations hereunder in accordance with the terms and conditions of this Agreement.

The Company and each Stockholder shall be entitled to enforce their respective rights under this Agreement specifically and to exercise all other rights existing in his or its favor. Because the Shares cannot be readily purchased or sold in the open market, the parties hereto agree and acknowledge that money damages may not be an adequate remedy for any breach of the provisions of this Agreement, and are not an adequate remedy with respect to any provisions of Article II, Article III, Article IV, Article V or Article VI hereof, and that they may be irreparably damaged in the event that this Agreement is not specifically enforced, and therefore, each party may, in its sole discretion, apply to any court of law or equity of competent jurisdiction for specific performance and/or injunctive relief (without posting a bond or other security) in order to enforce or prevent any violation of the provisions of this Agreement.

  • Specific Performance; Injunctive Relief The parties hereto acknowledge that Parent shall be irreparably harmed and that there shall be no adequate remedy at law for a violation of any of the covenants or agreements of the Stockholder set forth herein. Therefore, it is agreed that, in addition to any other remedies that may be available to Parent upon any such violation, Parent shall have the right to enforce such covenants and agreements by specific performance, injunctive relief or by any other means available to Parent at law or in equity.

In addition, after discussing the matter with Shareholder, Parent shall have the right to inform any third party that Parent reasonably believes to be, or to be contemplating, participating with Shareholder or receiving from Shareholder assistance in violation of this Agreement, of the terms of this Agreement and of the rights of Parent hereunder, and that participation by any such persons with Shareholder in activities in violation of Shareholder’s agreement with Parent set forth in this Agreement may give rise to claims by Parent against such third party.

  • Right to Specific Performance The Purchaser agrees that the Company shall be entitled to a decree of specific performance of the terms hereof or an injunction restraining violation of this Agreement, said right to be in addition to any other remedies available to the Company.
