Specific Position; Duties and Responsibilities. The Company and Executive hereby agree that, subject to the provisions of this Agreement, the Company will employ Executive and Executive will serve the Company and its subsidiaries as Chairman of the Board and Chief Executive Officer of the Company during the CEO Term. The Company agrees that Executive's duties hereunder shall be the usual and customary duties of the offices of Chairman of the Board and Chief Executive Officer and such further duties consistent therewith as may be designated from time to time by the Board and shall not be inconsistent with the provisions of the charter documents of the Company or applicable law. Executive shall have such executive power and authority as shall reasonably be required to enable him to discharge his duties in the offices that he may hold. All compensation paid to Executive by the Company or any of its subsidiaries shall be aggregated in determining whether Executive has received the benefits provided for herein.

Executive Officer shall have such executive power and authority as shall reasonably be required to enable him to discharge his duties in the offices that which he may hold. All compensation paid to Executive Officer by the Company Employer or any of its subsidiaries shall be aggregated in determining whether Executive Officer has received the benefits provided for herein.

The Company Employer and Executive Officer hereby agree that, subject to the provisions of this Agreement, the Company Employer will employ Executive Officer and Executive Officer will serve the Company Employer as Senior Managing Director and its subsidiaries Chief Operating Officer of Employer and as Chairman of the Board President and Chief Executive Officer of the Company during the CEO TermHome Loans. The Company Employer agrees that ExecutiveOfficer's duties hereunder shall be the usual and customary duties of the such offices of Chairman of the Board and Chief Executive Officer and or such further other duties consistent therewith as may be designated from time to time by the Board and consistent with his status as an executive officer of Employer; any such duties shall not be inconsistent consistent with the provisions of the charter documents of the Company Employer or applicable law. Executive Officer shall have such executive power and authority as shall reasonably be required to enable him to discharge his duties in the offices that which he may hold. All compensation paid to Executive Officer by the Company Employer or any of its subsidiaries shall be aggregated in determining whether Executive Officer has received the benefits provided for herein.

The Company Employer agrees that ExecutiveOfficer's duties hereunder shall be the usual and customary duties of the such offices of Chairman of the Board and Chief Executive Officer and or such further other duties consistent therewith as may be designated from time to time by the Board and consistent with his status as an executive officer of Employer; any such duties shall not be inconsistent consistent with the provisions of the charter documents of the Company Employer or applicable law. Executive Officer shall have such executive power and authority as shall reasonably be required to enable him to discharge his duties in the offices that which he may hold. All compensation paid to Executive Officer by the Company Employer or any of its subsidiaries shall be aggregated in determining whether Executive Officer has received the benefits provided for herein.
