Duties and Responsibilities of Manager. During the Term, subject to the provisions of Section 3.1 herein, Manager shall provide, in exchange for the Management Fee, all such services as are necessary and appropriate for the day-to-day administration and management of Practice in a manner consistent with good business practice, including without limitation those services set forth in this Article 2.
Duties and Responsibilities of Manager. Tenant hereby appoints Manager as the sole and exclusive manager of the Facility and grants Manager all the authority necessary to carry out, in the manner deemed best by Manager and consistent with the objectives and obligations set forth in this Agreement, the management of the Facility on behalf of the Tenant. Notwithstanding anything provided herein to the contrary, Tenant hereby retains the control and authority (a) required by law for Tenant to maintain the license from the State of Iowa that is required for the operation of the Facility as an assisted living facility, and (b) not otherwise specifically delegated to Manager hereunder. Manager and Tenant are not partners or joint-venturers and it is agreed that Manager is acting solely as the agent of Tenant in performing services or acquiring assets or supplies as provided hereunder. Tenant shall honor, as its own, all contracts, agreements, and commitments entered into by Manager with respect to the management and operation of the Facility so long as they are required to meet the Annual Budget and comply with the provisions of Section 2.03(e). Provided that Manager has provided notice to Tenant of an insufficient balance in the Operating Account in accordance with the requirements of this Agreement, Manager shall not be required to make monetary expenditures on Tenant’s behalf to the extent that the Operating Account does not contain sufficient funds to cover such expenditures. As the exclusive manager of the Facility, Manager shall perform the following, but only with respect to the Facility and subject to the rights and responsibilities of the Tenant:
(a) Manage all aspects of the Facility in a professional, competent and business-like manner;
(b) Recruit, hire, train and supervise Facility Employees, with no such personnel being employed by Tenant;
(c) Manage the available cash flow of the Facility, including, without limitation, (i) timely billing of all residents and or other third-party payors for all services or items provided by the Facility, (ii) timely paying all Operating Expenses from available cash flow;
(d) Prepare, keep and provide Tenant with access during regular business hours to all contracts, Books and Records, documents, policies and other information necessary for the lawful operation and sound financial management of the Facility;

Duties and Responsibilities of Manager. 2.1 The Manager shall offer the Villas for rental to such persons and for such duration and on such terms and conditions of occupancy as the Manager in its sole discretion shall determine. The Manager shall use its best efforts to be fair and act in good faith in the offering of an available Villa to customers, consistent with the preferences of the customer for different types, sizes, qualities, locations and rental rates. The Manager shall manage the Villa impartially without favoured treatment to the Proprietor or to any other proprietor in Meadowstone Villas.
2.2 Following annual consultation with the Proprietor, the Manager shall set rental rates for the Villas, which in the Manager’s judgement shall maximise the rental income from the Villa.
2.3 The Manager shall provide the following services:
(a) A reservation service on a year round basis.
(b) The maintenance of a complete set of accounting books for the rental programme, kept according to standard accounting practice. The Manager shall prepare and forward to the Proprietor monthly statements detailing income earned and expenses incurred in respect of the Villa.
(c) The Manager shall keep and preserve for at least four (4) years all records and occupancy statistics of the Proprietors Villa.
(d) The Manager shall use its best efforts to cause the Villa to be occupied by rental or fee paying customers and shall faithfully and diligently pursue the collection of all rents or charges.
(e) The Manager shall advertise, market and promote jointly all Villas in Meadowstone Villas, which it manages and acts for as rental Manager including over the internet through a website. The manager will spend the advertising levy referred to in clause 4.2 on promotion of Meadowstone Villas by way (but not limited to) newspaper and press publications, tourist accommodation guides and website marketing.
(f) The establishment of a separate bank account relating to the letting of the Villa in Meadowstone Villas and the payment into that bank account of all rental income received in respect of all Villas in Meadowstone Villas managed by the Manager which sum shall be held by the Manager on trust for the Proprietor, notwithstanding clause 1.2.
(g) The Manager will arrange and pay for a public liability cover to the extent of One million dollars ($1,000,000.00) on the Managers policy indemnifying the Proprietors against any claims arising from loss or damage in the property that are related to the operation of the Management...
Duties and Responsibilities of Manager. RHS and the Clinic hereby appoint Manager as the Clinic's manager and administrator of all day-to-day business functions in accordance with the terms of this Agreement. Manager agrees that the Clinic and only the Clinic will practice medicine or perform any activities which constitute the practice of medicine. Neither Manager nor PhyCor will have any authority, directly or indirectly, to perform, and will not perform, any medical services on behalf of the Clinic patients. (a) Manager shall prepare the annual Clinic Work Plan as set forth in Section 2.1(a) above.
(b) Manager shall prepare annual capital and operating budgets, commencing with the annual budgets for the year 2000, reflecting the anticipated revenues and expenses, and sources and uses of capital for growth in the Clinic's practice and medical services, which budgets shall be prepared in accordance with generally accepted accounting principles ("GAAP"), applied on a consistent basis, and in accordance with guidelines established therefore from time to time by RHS (which guidance shall include the format thereof and the timing of the preparation and presentation thereof). The capital and operating budget approved by the Policy Board shall be presented to the RHS Chief Executive Officer for his or her revision and final approval. The capital budget and operating budget approved by RHS shall be the capital budget and operating budget of the Clinic for the applicable fiscal year. RHS recognizes and agrees that the Clinic will require capital expenditures from time to time, and RHS hereby agrees to provide such capital to fund the capital needs of the Clinic to the extent consistent with the provisions of the approved operating and capital budgets and subject to the Delegation of Authority Policies.
(c) Manager shall develop and submit to the Policy Board for its review and approval a strategic plan which describes Manager's recommended proposals as to the short-term and long-term goals and objectives of the Clinic which Manager recommends pursuing, which plan shall set forth the efforts, methods and resources Manager believes are needed to implement the proposed strategic plan. Duties and Responsibilities of Manager. (a) The Manager shall have the right and duty to direct and supervise the administration and management of Claims, and in connection therewith, shall have full power and authority to take any and all actions authorized under Section 4 hereof.
(b) The Manager shall provide to Insurers and to their actuaries and accountants such information regarding Claims and related information as may be relevant to or useful for future reserve studies of the Insurers or for the timely preparation of Insurers' interim and year-end financial statements, tax returns, and reports required by statute or regulation.
(c) The Manager shall provide to reinsurers of the Insurers such reports regarding Claims and related information as are required to be provided by the Insurers in accordance with their respective reinsurance treaties.
Duties and Responsibilities of Manager. A. Manager shall turn over or cause the Fund to turn over to IFTC all of each Portfolio’s accounts and records previously maintained, if any.
B. Manager shall provide or cause the Fund to provide to IFTC the information necessary to perform IFTC’s duties and responsibilities hereunder in writing or its electronic or digital equivalent prior to the next close of the New York Stock Exchange on each day on which IFTC prices the Portfolios’ securities and foreign currency holdings.
C. Manager shall furnish or cause the Fund to furnish IFTC with the declaration, record and payment dates and amounts of any dividends or income and any other special actions required concerning the securities in the Portfolios when such information is not readily available from generally accepted securities industry services or publications.
D. Manager shall pay to IFTC such compensation at such time as may from time to time be agreed upon in writing by IFTC and Manager. The initial compensation schedule is attached as Exhibit A. Manager shall also reimburse IFTC on demand for all out-of-pocket disbursements, costs and expenses incurred by IFTC in connection with services performed pursuant to this Agreement.
E. Manager shall notify or cause the Fund to notify IFTC of any changes in statutes, rules, regulations, requirements, or policies which may necessitate changes in IFTC’s responsibilities or procedures.
F. Manager shall provide or cause the Fund to provide to IFTC, as conclusive proof of any fact or matter required to be ascertained from Manager of the Fund as determined by IFTC, a certificate signed by Manager’s of the Fund’s president or other officer, or other authorized individual, as requested by IFTC. Manager or Fund shall also provide to IFTC instructions with respect to any matter concerning this Agreement requested by IFTC. IFTC may rely upon any instruction or information furnished by any person reasonably believed by it to be an officer or agent of Manager or Fund, and shall not be held to have notice of any change of authority of any such person until receipt of written notice thereof.
G. d. benefits administration;

h. accounts payable, including approval, cash management, and payment;
