Spinco Amendment Authority. Except as otherwise provided in this Agreement or in the Distribution Agreement, nothing in this Agreement is intended to prohibit Spinco or the Spinco Group from amending or terminating any employee benefit plans, policies, and compensation programs at any time after the Distribution Date.
