STANDBY ARRANGEMENTS a) An employee scheduled on standby, whether or not s/he carries a pocket pager, will be paid for two (2) hours at straight time for the 24 hour period commencing daily at 08:00 Monday to Thursday inclusive, 3 hours at straight time for the 24 hour period commencing at 08:00 Friday, and 4 hours at straight time for the 24 hour period commencing at 08:00 on a Saturday, Sunday or Statutory Holiday. b) Where possible standby will be signed up on a voluntary basis with schedules posted at least 96 hours in advance. Should an employee be given less than 96 hours notice of standby duty, s/he will be under no compulsion to accept such duty. c) No employee will be compelled to accept standby on 2 consecutive weekends or on 2 consecutive holiday weekends.
STANDBY ARRANGEMENTS. The parties have entered into this Article 10.5 in order to provide to IMED the ability to obtain and sell the Products and Accessories in the Territory under circumstances where, notwithstanding the sequential application of the above provisions and the efforts of the Parties hereto to perform this Agreement in good faith so as to continue their relationships as contemplated herein, DEBIOTECH is no longer able to, or does not, satisfy its obligations to provide IMED with its reasonable requirements of Products and Accessories as contemplated herein. Accordingly, in those cases where the Parties have been unable to resolve a Supply Interruption problem pursuant to Article 10.4 through their mutual assistance of the first source manufacturer or the transfer of manufacture to a second source manufacturer selected by DEBIOTECH, the second step in the resolution process will be either for IMED to contract directly with SAGEM, Plastic Omnium or other first source manufacturer, as the case may be, pursuant to a Standby Agreement, or for IMED to assume direct responsibility for such manufacture pursuant to the Standby License, in either case, in accordance with the respective provisions which follow.
STANDBY ARRANGEMENTS. Under the terms of the contract between the Arizona Power Authority and the Company dated April 30, 1953, the parties thereto agreed to provide for reciprocal emergency assistance or standby during outages of facilities of the parties to said contract. Deliveries of power and energy for such purposes under such contract shall not constitute a violation of this Agreement.
