SUB-CONTRACTS. (a) The Cash Manager may sub-contract or delegate the performance of all or any of its powers and obligations under this Agreement to any party whom it reasonably believes is capable of, and experienced in, performing the functions to be given to it provided that (but subject to Clause 3.2(b) below):
