Common use of Sub-processor Requirements Clause in Contracts

Sub-processor Requirements. Xxxxxx has entered or will enter into a written agreement with each Sub-processor that contains data protection obligations equivalent to those in this DPA. Xxxxxx will be liable for the actions and omissions of its Sub-processors undertaken in connection with Xxxxxx’x performance under this DPA to the same extent Xxxxxx would be liable if performing the Services directly. Xxxxxx shall notify the Customer of any failure by the Sub-processor to fulfill its contractual obligations.
