SUB STOCKHOLDER APPROVAL. Parent, in its capacity as the sole stockholder of Sub, by its execution hereof, approves and adopts this Agreement and the transactions contemplated hereby.

SUB STOCKHOLDER APPROVAL. Tidewater, as the sole stockholder of Sub, shall take all action necessary to effect the necessary stockholder approval by Sub of this Agreement.
SUB STOCKHOLDER APPROVAL. This Agreement shall have been duly adopted by the sole stockholder of Merger Sub in accordance with applicable Law and the certificate of incorporation and bylaws of Merger Sub.
