Subcontract Agreement a. Subcontract agreements (Subcontract) shall identify, define, and include those specific services, items, terms, and conditions that are consistent with the Contract and the scope of work including anticipated duration. The Department will monitor and ensure a commercially useful function (CUF) review is performed. These reviews are for the purpose of ensuring that the DBE is performing and managing the work.
b. The Subcontract will be prepared and submitted with all required conditions and attachments for execution.
c. The following items are clearly defined and included in all professional services subcontracts:
(1) Identification of parties;
(2) Definition of work (scope, methods, end results);
(3) Definition of Client’s responsibility;
(4) Provisions for contract changes;
(5) DBE Special Provision;
(6) Compensation;
(7) Method of payment; and
(8) Federally required provisions.
d. The following terms and items are included in all construction subcontracts:
(1) Parties to the contract;
(2) Contract start and end dates;
(3) Scope of Work, including deliverables;
(4) DBE Special Provision;
(5) Schedule of Values;
(6) Payment due dates;
(7) Terms and conditions relating to premature contract termination;
(8) Terms and conditions relative to undue delays;
(9) Means to resolve claims and deputes;
(10) Indemnification terms and conditions; and
(11) Federally required provisions.
e. Any exceptions taken by the Subcontractor with regards to any of the business terms and conditions of the subcontract document will be negotiated (that is in the purview to negotiate).
f. Upon complete execution of the document, a copy will be provided to the Department.
Subcontract Agreement. The Terms and Conditions of this Purchase Order will be superseded immediately upon the execution by the parties to this Purchase Order of any subsequent agreement or subcontract. The responsibilities of both parties will then be as if the works under this Purchase Order had originally commenced under the Subcontract.
Subcontract Agreement. A filing pursuant to subsection (1) of this section shall:
Subcontract Agreement. (a) Notwithstanding anything contained in this Agreement to the contrary, with respect to those Covered Accounts that are governed by a multilocation or national account agreement between Seller and the owners of such accounts and which are set forth on Schedule 1.5 (the "Multilocation Linen Accounts"), Seller shall not assign any of its right, title, and interest in and to such agreements to Purchaser, but, instead, Purchaser and Seller will, at the Closing, enter into Subcontract Agreements (each, a "Subcontract Agreement"), substantially in the form attached hereto as Exhibit B, pursuant to which Purchaser shall provide service to such accounts to the extent that service to such accounts constituted a part of the Business. Notwithstanding the foregoing, in the event any multilocation or national account relates exclusively to any Covered Account(s) serviced solely by the Acquired Facilities, Seller or an Affiliate shall assign all of their respective right, title, and interest in and to such agreements to Purchaser in such multilocation or national account pursuant to the terms of this Agreement.
(b) Any provision to the contrary notwithstanding, specifically including Section 14.13 hereof, Seller and each Affiliate hereby irrevocably consent to the assignment by Purchaser of all or a portion of Purchaser's rights under this Section 1.5 or any Subcontract Agreement to any other person or entity in connection with Purchaser's sale of all or substantially all of the assets and/or any relevant portion of the revenue base attributable to any Acquired Facility and such transferee shall thereafter have all of Purchaser's rights and obligations hereunder for the duration of the Subcontract Agreement.
(c) Notwithstanding anything in this Agreement to the contrary, it is understood that the following provisions shall be applicable with respect to Covered Accounts for Industrial Items (as hereinafter defined) which are governed by multilocation or national accounts ("Multilocation Industrial Accounts"):
(i) In the case of Multilocation Industrial Accounts which relate exclusively to Covered Accounts serviced solely by the Acquired Facilities, Seller or an Affiliate shall assign all of their respective right, title and interest in and to the agreements relating to such Accounts pursuant to the terms of this Agreement.
(ii) Multilocation Industrial Accounts not otherwise covered by Section 2.5(c)(i) (the "Special Industrial Accounts") shall be subject to the follow...

The Employer agrees that should any part or portion of the work covered by this Agreement be sublet to any other employer or sub-employer, the provisions of this Agreement shall be binding upon and applicable to all work performed by said other employer or sub-employer. It is further agreed that prior to the sub-employers starting work they shall be in contractual relation with the Union.

(6) Compensation;
(7) Method of payment; and
(8) Federally required provisions.
d. The following terms and items are included in all construction subcontracts:
Subcontract Agreement a. Subcontract agreements (Subcontract) shall identify, define, and include those specific services, items, terms, and conditions that are consistent with the Contract and the scope of work including anticipated duration. The Department will monitor and ensure a commercially useful function (CUF) review is performed. [Insert DB Contractor Name] will provide advance notice that the DBE has commenced Work to the Department so the Department can conduct CUF reviews of [Insert DB Contractor Name]’s DBEs. These reviews are for the purpose of ensuring that the DBE is performing and managing the work in compliance with 49 CFR 26.55.
b. The Subcontract will be prepared and submitted with all required conditions and attachments for execution.
c. Include templates for DBE subcontracts for professional services and construction work that meet the following minimum requirements:
Subcontract Agreement. Each of the applicable parties shall have entered into the Subcontract Agreement.
Subcontract Agreement. 6.1. This Agreement regulates the relationship between the Parties at the the prequalification and Tender phase. In the event that the Contractor is awarded the Project, the Parties shall execute and conclude the detailed Subcontract Agreement setting out their respective rights and obligations in the Project’s execution phase while having regard to the main points and matters agreed to in this Agreement.
6.2. The Subcontract Agreement shall reflect on a back-to-back basis the provisions of the Contract to the extent applicable to the Subcontract Work. the Subcontractors shall be subject to and bound by, and shall perform the Subcontract Work in full compliance with the provisions of the Contract.
6.3. The terms of payment in the Contract shall apply to the Subcontract Agreement, to the extent applicable.
6.4. The Subcontractors shall have full and sole responsibility for the payment of any taxes, duties, fees of any nature in connection with the Subcontract Work pursuant to the applicable law.
