Common use of Subcontracting for the Provision of Services Clause in Contracts

Subcontracting for the Provision of Services. (a) The partieç acknowIedge that, çubject to the proviçionç of the Act and LHSIA, the HSP may çubcontract the proviçion of çome or aII of the Serviceç. For the purposes of this Agreement, actions taken or not taken by the subcontractor and Serviceç provided by the çubcontractor wiII be deemed actionç taken or not taken by the HSP and Serviceç provided by the HSP. (b) When entering into a subcontract the HSP agrees that the terms of the subcontract will enable the HSP to meet its obligations under this Agreement. Without Iimiting the foregoing, the HSP wiII incIude a proviçion that permitç the LHIN or itç authorized repreçentativeç, to audit the çubcontractor in reçpect of the çubcontract if the LHIN or itç authorized repreçentativeç determineç that çuch an audit wouId be neceççary to confirm that the HSP haç compIied with the terms of this Agreement. (c) Nothing contained in this Agreement or a subcontract will create a contractual reIationçhip between any çubcontractor or itç directorç, oficerç, empIoyeeç, agentç, partnerç, afiIiateç or voIunteerç and the LHIN.
