Subcontractor Default; Termination Upon Default. 12.1 If the Subcontractor defaults or neglects to carry out the Subcontract Work in accordance with the Subcontract Documents and fails within 24 hours after receipt of notice from the General Contractor to commence and continue correction of such default or neglect with diligence and promptness, the General Contractor may, without prejudice to other remedies the General Contractor may have, correct such default or neglect. In that event, the General Contractor may withhold or nullify payment to the Subcontractor in whole or in part to the extent reasonably necessary to reimburse the General Contractor for the reasonable cost of correcting such deficiencies, including the General Contractor’s expenses and compensation for the Architect’s additional services, as well as charges of engineers, attorneys, and other professionals, made necessary by such default, neglect, or failure. If current and future payments are not sufficient to cover such amounts, the Subcontractor shall pay the difference to the General Contractor.

  • Termination Upon Default Either Party may terminate this Agreement in whole or in part in the event of a default by the other Party; provided however, that the non-defaulting Party notifies the defaulting party in writing of the alleged default and that the defaulting Party does not cure the alleged default within sixty (60) calendar days of receipt of written notice thereof.
