Subcontractor Status. A. If Contractor intends to subcontract any part of the services provided under this Contract to a separate and independent agency or agencies, Contractor must submit a written Memorandum of Understanding (MOU) with that agency or agencies with original signatures to DBH. The MOU must clearly define the following: 1. The name of the subcontracting agency. 2. The amount (units, minutes, etc.) and types of services to be rendered under the MOU. 3. The amount of funding to be paid to the subcontracting agency. 4. The subcontracting agency’s role and responsibilities as it relates to this Contract. 5. A detailed description of the methods by which the Contractor will insure that all subcontracting agencies meet the monitoring requirements associated with funding regulations. B. Any subcontracting agency must be approved in writing by DBH and shall be subject to all applicable provisions of this Contract. The Contractor will be fully responsible for the performance, duties and obligations of a subcontracting agency, including the determination of the subcontractor selected and the ability to comply with the requirements of this Contract. DBH will not reimburse subcontractor directly for any services rendered. C. Ineligible Persons Contractor shall adhere to Prohibited Affiliations and Licensing, Certification and Accreditation Articles regarding Ineligible Persons or Excluded Parties for its subcontractors.

All subcontractors shall fulfill the requirements the service or activity delegated under the subcontract, and shall fulfill the requirements outlined in this contract, to which the Contractor shall oversee and be held accountable for the performance, any functions, responsibilities and adherence that the Contractor delegates and contracts to its subcontractor. E. The Contractor shall require subcontractors not bill beneficiaries for covered services under a contractual, referral, or other arrangement with DBH in excess of the amount that would be owed by the individual if the Contractor had directly provided the services.

If Contractor intends to subcontract any part of the services provided under this Contract to an individual, company, firm, corporation, partnership or other organization, not in the employment of or owned by Contractor who is performing services on behalf of Contractor under the Contract or under a separate contract with or on behalf of Contractor, Contractor must submit a written Memorandum of Understanding (MOU) with that agency or agencies with original signatures to DBH. The MOU must clearly define the following: 1. The name of the subcontracting agency. 2. The amount (units, minutes, etc.) and types of services to be rendered under the MOU. 3. The amount of funding to be paid to the subcontracting agency. 4. The subcontracting agency’s role and responsibilities as it relates to this Contract. 5. A detailed description of the methods by which the Contractor will insure that all subcontracting agencies meet the monitoring requirements associated with funding regulations. 6. A budget sheet outlining how the subcontracting agency will spend the allocation. 7. Additionally, each MOU shall contain the following requirements: a. Subcontractor shall comply with the Right to Monitor and Audit Performance and Records requirements, as referenced in the Performance Article. b. Subcontractor agrees to comply with Personnel Article related to the review of applicable Federal databases in accordance with Title 42 of the Code of Federal Regulations, Section 455.436, and applicable professional disciplines’ and licensing and/or certifying boards’ code of ethics and conduct. c. Subcontractor shall operate continuously throughout the term of the MOU with all licenses, certifications, and/or permits as are necessary to perform services and comply with Licensing, Certification, and Accreditation Article related to excluded and ineligible status. d. Subcontractor agrees to perform work under this MOU in compliance with confidentiality requirements, as referenced in the Confidentiality and Laws and Regulations Articles. e. MOU is governed by, and construed in accordance with, all laws and regulations, and all contractual obligations of the Contractor under the primary contract. f. Subcontractor’s delegated activities and reporting responsibilities follow the Contractor’s obligations in the primary contract. g. Subcontractor Status. During the term of this Agreement, MHM will act as a subcontractor to PHS in performing the duties and responsibilities described in this Agreement. PHS will act as the primary contractor to the Client. As the primary contractor, nothing in this Agreement is intended to relieve PHS from its contractual obligations to the Client in the provision of psychiatric and mental health services at each Client Facility. The administration of psychiatric and mental health services shall at all times remain under the ultimate control and direction of PHS. The policies and standards of PHS shall govern the provision of such services. PHS shall monitor the services performed by MHM and direct MHM, through its designated representatives under this Agreement as it deems necessary. Directions and communication shall generally be from the PHS HSA through MHM's clinical coordinator, who shall direct the daily activities of psychiatric and mental health staff. In the absence of the clinical coordinator, or if PHS for other reasons determines such action to be necessary, PHS may directly communicate with the psychiatric and mental health staff as needed. However, PHS shall not interfere or in any way or direct the exercise of professional judgment or the professional practice of MHM's psychiatric and mental health staff. The services provided by MHM pursuant to this Agreement shall satisfy Contract Documents, as required by the Contract, or other standards established by PHS.
Subcontractor Status. If this Subcontract is being awarded upon the basis that Subcontractor qualifies under any Laws as: (i) a Women’s Business Enterprise, or (ii) a Disadvantaged Business Enterprise, or (iii) a minority, women owned, or economically disadvantaged firm as these terms may be defined from time to time under applicable law, it is agreed that the continuous existence and maintenance of such business status is a condition precedent to TRC’s obligations hereunder. Subcontractor agrees that if it fails to continuously maintain its status as such a business or firm throughout the life of the Subcontract, if Subcontractor’s status as such a firm or enterprise is terminated at any time by any governmental authority having jurisdiction over the matter, or if Subcontractor hires or subcontracts a portion of its work such that any portion of its overall contract value is performed by entities that do not qualify under (i), (ii), or (iii) above, TRC will have the absolute right and option to terminate this Subcontract immediately in accordance with the provisions in Articles 18 or 19 and Subcontractor will be liable for any resultant damages suffered by TRC.

Subcontractor Status. This Subcontractor is providing residential services to WSFOLLC Individual as Subcontractor of We Speak For Ourselves, LLC. and not as an employee. The Subcontractor’s is therefore not entitled to receive from or on account of We Speak For Ourselves, LLC. and employee or fringe benefits. WSFOLLC will not withhold any taxes from its payments unless the proper forms (W-4 and GA-State) are filed with the payroll department for the services rendered. Social Security and tax payments that maybe required on account of the Subcontractor’s receipt of any payment from WSFOLLC will be the sole responsibility of the contractor. We Speak For Ourselves, LLC. will then provide the subcontractor an IRS 1099 each year.
