Subject to Purchase Agreement. In the event of any conflict or other difference between the Purchase Agreement and this Agreement, the provisions of the Purchase Agreement shall govern and control.
Subject to Purchase Agreement. The Buyer and the Seller acknowledge and agree that the representations, warranties, covenants and agreements contained in the Purchase Agreement shall not be superseded or altered hereby but shall remain in full force and effect to the full extent provided therein. In the event of any conflict or inconsistency between the terms of the Purchase Agreement and the terms hereof, the terms of the Purchase Agreement shall govern.
Subject to Purchase Agreement. This License Agreement is made in connection with the transactions and matters contemplated by the Purchase Agreement and is subject to the terms and conditions thereof.

This Lease is made, executed and deliver pursuant to the Purchase Agreement, and is subject to all the terms, provisions, and conditions thereof, including (without limitation) the indemnification therein. To the extent of any conflict between the terms hereof and thereof, the terms of the Purchase Agreement shall be controlling.
Subject to Purchase Agreement. This Assumption Agreement is subject to the terms and conditions of the Asset Purchase Agreement. In the event of any conflict or inconsistency between the provisions of this Assumption Agreement and the provisions of the Asset Purchase Agreement, the Asset Purchase Agreement will prevail. This Assumption Agreement does not create, and will not be interpreted as creating, any rights or obligations of the Parties other than those set forth in the Asset Purchase Agreement, nor does it derogate from, or will it be interpreted as derogating from, any rights or obligations of the Parties under the Asset Purchase Agreement, it being understood that this Assumption Agreement is solely to confirm the transfers set forth in the Asset Purchase Agreement and, if necessary, to provide evidence of such transfers to Third Parties.
Subject to Purchase Agreement. Notwithstanding anything to the contrary contained in this Agreement, the Company is bound by the provisions of the Purchase Agreement and is authorized to take the actions set forth therein.

Nothing contained in this Agreement shall itself change, amend, extend or alter (nor shall it be deemed or construed as changing, amending, extending or altering) the terms or conditions of the Purchase Agreement in any manner whatsoever. This Agreement does not create or establish liabilities or obligations not otherwise created or existing under or pursuant to the Purchase Agreement. In the event of any conflict between the Purchase Agreement and this Agreement, the provisions of the Purchase Agreement shall govern and control. The parties hereto acknowledge and agree that the representations, warranties, covenants, agreements and indemnities contained in the Purchase Agreement will not be superseded hereby but will remain in full force and effect to the full extent provided therein. For the avoidance of doubt, any controversy or claim arising under this Agreement shall be governed solely by, and subject to the terms of, the Purchase Agreement.

Nothing contained herein shall itself change, amend, extend or alter (nor shall it be deemed or construed as changing, amending, extending or altering) the terms or conditions of the Purchase Agreement in any manner whatsoever. This Bxxx of Sale does not create or establish liabilities, rights or obligations not otherwise created or existing under or pursuant to the Purchase Agreement. In the event of any conflict or other difference between the Purchase Agreement and this Bxxx of Sale, the provisions of the Purchase Agreement shall control.

This instrument does not create or establish liabilities or obligations not otherwise created or existing under or pursuant to the Purchase Agreement. In the event of any conflict or other difference between the Purchase Agreement and this instrument, the provisions of the Purchase Agreement shall control.
