Subscriber may nominate. Subject to clause 3.2, no less than 2 Business Days prior to the Completion Date, a Subscriber may nominate a trust, company or other legal entity which is Controlled by the Subscriber, or in which the Subscriber (or its Affiliate) has a majority beneficial interest, to complete all of that Subscriber's obligations under this agreement (including, but not limited to, nominating the actual acquiring entity(s) of its Subscription Shares) (“Nominee”), by giving written notice of that nomination to the Company.
